1.The subject of the contract is "Granting and servicing a long-term bank loan in the amount of PLN 4,625,916.00 for the Municipality of Susz" intended to finance the planned deficit of PLN 4,625,916.00.

2) The Bank will launch tranches of the loan by 30.12.2022. at the request of the ordering party. The bank will make the loan available within 3 days of signing the contract.

3) The currency of the loan pln Polish (PLN).

4) Principal repayment period in the years 2023-2032 starting from 31.01.2023 (last installment 31.12.2032).

5) Repayment of capital will take place on a monthly basis, at the end of each month.

1. Repayment of the capital shall be made on a monthly basis at the end of each month.

Repayment of the loan in years and amounts:

- in 2023 - PLN 50,000.00 (1 installment PLN 4,900.00; 11 installments of PLN 4,100.00),

- in 2024 - PLN 100,000.00 (1 installment PLN 8,700.00; 11 installments of PLN 8,300.00),

- in 2025 - PLN 100,000.00 (1 installment PLN 8,700.00; 11 installments of PLN 8,300.00),

- in 2026 - PLN 200,000.00 (1 installment PLN 24,000.00; 11 installments of PLN 16,000.00),

- in 2027 - PLN 200,000.00 (1 installment PLN 24,000.00; 11 installments of PLN 16,000.00),

- in 2028 - PLN 200,000.00 (1 installment PLN 24,000.00; 11 installments of PLN 16,000.00),

- in 2029 - PLN 500,000.00 (1 installment PLN 49,000.00; 11 installments of PLN 41,000.00),

- in 2030 - PLN 1,000,000.00 (1 installment of PLN 87,000.00; 11 installments of PLN 83,000.00),

- in 2031 - PLN 1,200,000.00 (12 installments of PLN 100,000.00),

- in 2032 - PLN 1,075,916.00 (1 installment PLN 96,916.00: 11 installments of PLN 89,000.00).

2. Interest payment from 31 January 2023 on a monthly basis. Interest due will be calculated for each day on the loan funds actually used, assuming the actual number of calendar days in the month and year.

The Bank will always notify the Borrower of the amount of interest in writing, at the same time providing the amount of loan repayment in force in a given month. The above-mentioned notification may be sent by fax or to the following e-mail address: finanse6@susz.pl at the latest 5 days before the payment deadline.

3. The payment of interest and capital instalments shall be the date of receipt of receivables on the Bank's account.

If the repayment of interest or capital instalments falls on a Saturday, Sunday, public holiday or other public holiday, interest or principal instalments shall be repaid on the first business day following the scheduled repayment date.

4. Interest rate on the loan – will be calculated according to the variable WIBOR 3M rate set 2 business days before the end of the quarter and effective from the 1st day of the next quarter, increased by the bank's fixed margin.

5. Interest in the amount of 1.50 times the margin plus WIBOR 3M specified in point 9 shall be charged on outstanding debt due to capital on time.

6. The collateral for the repayment of the loan granted will be a blank promissory note together with a promissory note declaration.

7. The Purchaser shall have the right to make an early repayment of the credit in whole or in part without incurring any additional fees and without prior notification to the creditor.

8. The Ordering Party reserves the right not to use the credit in full without incurring additional fees.

9. The Ordering Party reserves the right to receive all documents related to the loan granted, including, but not limited to, bank opinions, annexes to the loan agreement, without incurring additional fees or commissions.

10. The loan cannot be charged with other fees and commissions.

11. Capitalisation of interest may not be used.

12. For the calculation of the offer price, the WIBOR 3M rate – 7.04% and the date 18.08.2022 should be assumed.
