1. Subject of the contract: granting a long-term loan intended to finance the planned budget deficit resulting from the implementation of the investment (including refinancing of costs incurred in the period from 1 July 2022) entitled:

a) Reconstruction of the county road No. 2255L Grabówka – Kol. Warszawska – Niedrzwica Duża,

b) Reconstruction and construction of the county road No. 2258L Podole – Zosin – Babin,

c) Reconstruction of the county road No. 2276L Tuszów – Jabłonna,

d) Reconstruction of the county road No. 2253L,

e) Reconstruction of the surface of the county road 2316L Maciejów Nowy – Żabno – Wierzchowina.

Loan amount: PLN 18,470,000.00 (in words: eighteen million four hundred and seventy thousand zlotys 00/100).

Payment of the loan in tranches, with the amount and dates depending on the needs of the Ordering Party, by 31.12.2022 to the account indicated by the Ordering Party. The grace period in repayment of the loan capital lasts until 31.12.2025. The repayment date of the first installment of the loan capital is set at 31.12.2025. Repayment of the loan capital will take place quarterly, on the last day of each calendar quarter (40 installments), over a period of 10 years (a total loan period of 13 years). The interest rate on the loan will be calculated on the basis of the base rate – WIBOR 1M. Interest on the amount of debt will be calculated and repaid in quarterly accounting periods. The date of payment/starting the loan is the date of crediting the funds on the Ordering Party's account. Interest will be calculated on the amount and time of the funds actually used. When calculating interest, the actual number of days per year is assumed. The first interest payment will take place at the end of the calendar quarter in which the first tranche of the loan was transferred. Repayment of capital should be spread over equal installments in the amount of PLN 461,750.00. Collateral for loan repayment: a blank promissory note together with a promissory note declaration, signed by the representation of the County Board together with the countersignature of the County Treasurer. The Ordering Party does not provide for a commission for granting a loan. The Ordering Party reserves the right to repay the loan early, without incurring additional fees. The Ordering Party reserves the right to use the loan in full, in this case the Contractor will spread the used loan into equal quarterly installments while maintaining the grace period and the loan repayment date and present to the Ordering Party a new repayment schedule for the remaining part of the loan. The Contractor shall not charge any commissions or fees in this respect. The Contracting Authority covers the costs related only to interest (WIBOR base rate 1M + (-) Contractor's margin) for taking out and servicing the loan. All other activities performed when taking out and servicing the loan by the Contractor are free of charge for the Ordering Party, in particular: for launching and substituting a loan at the disposal of the Ordering Party (the so-called preparatory commission), transferring funds under the loan, issuing a bank opinion regarding the implementation by the Ordering Party of obligations under the title.
