Legal advice in the field of project and corporate finance, German/English law
DEG – Deutsche Investitions- und Entwicklungsgesellschaft mbH ("DEG") intends to conclude a framework agreement with a law firm on legal advice services in the field of "Project and Corporate Finance DEG (German/English Law)". For this purpose, an EU-wide award procedure (§§ 64 ff. VgV) is carried out as a negotiated procedure with a participation competition.
The consulting field "Project and Corporate Finance DEG (German/English Law)" is the provision of legal advice under German or English law for project and corporate financing of DEG. In the case of loan and equity financing (including fund financing), this includes the following legal services:
- Legal due diligence under German or English law or their coordination, insofar as other foreign legal systems are affected;
- Legal assessment of the project/transaction as part of the internal draft resolution;
- Legal commentary on the term sheet prepared by the project manager;
- Drafting of financing and collateral agreements in accordance with German or English law;
- Checking the plausibility of financing and collateral agreements under foreign law;
- Accompanying the disbursement process and coordinating the legal disbursement requirements;
- Preparation or review of legal opinions;
- Provision of consulting services in accordance with German or English law as part of the inventory management of a project;
- Provision of consulting services in accordance with German or English law in the context of intensive support of projects ("work out"; restructurings);
- Drafting or revision of model contracts or standardised documents in accordance with German or English law;
- Provision of consulting services under German or English law in the event of legal developments, changes in the law, court rulings that may have an impact on the field of consulting;
- Representing DEG before German or British courts or arbitral tribunals in litigation in connection with project financing.
