The subject of the contract is the granting and servicing of a long-term loan in the amount of PLN 3,500,000.00 (in words: three million five hundred thousand and 00/100) to finance the planned deficit and repayment of previously incurred liabilities under loans and credits.

2. Quality standards relating to all essential characteristics of the subject of the contract:
1) Provisions regarding the provision of funds at the disposal of the Ordering Party.
The Contractor shall make the funds available to the borrower in the period from the date of signing the contract (but not earlier than after the Employer has established legal collateral for the loan) until 31.12.2023.
2) Provisions on launches.
a) The credit will be activated within three working days from the date of submission of the instruction.
b) The loan will be used for its intended purpose and up to the amount of the loan granted in a non-cash form by implementing the instruction
charged to the credit account.
(c) Indicative dates and amounts of disbursement of the loan:
I tranche until 30 September 2023 up to PLN 875,000.00
Tranche II until 31 October 2023 up to PLN 875,000.00
Tranche III by 30 November 2023 up to PLN 875,000.00
Tranche IV until 31 December 2023 up to PLN 875,000.00
d) The funds from the loan will be paid out to the account of the Głogówek municipality.
3) Repayment provisions.
(a) The principal instalments shall be repaid, as set out in the table below, in the last month of each quarter starting in 2024. Expected repayment schedule in accordance with the provisions of the SWZ.
b) The final repayment of the loan will take place no later than 31.12.2037.
c) Interest on the loan will be repaid on a monthly basis, by the 10th day of each month from the current income of the Głogówek Commune – property tax. The last interest installment payable on 31.12.2037
d) The Contractor will be obliged to provide information to the Ordering Party
in terms of the amount of interest payment no later than 5 working days before the contractual repayment date.
(e) Where the repayment date of interest or principal falls on a day off
from work, it is assumed that the payment deadline is observed when the funds have been credited to the credit account on the first business day after the payment date.
4) Interest rate:
The amount of the loan used will bear interest on an annual basis at a variable interest rate.
(a) The interest rate for a given interest period shall be determined on the basis of
by the WIBOR 1M rate from the last day of the month preceding each interest period, increased by the bank's margin. The WIBOR 1M rate should be adopted as of 14.07.2023.
b) The Contractor's margin is fixed throughout the loan period.
(c) The first interest period may not be less than one calendar month. It is counted from the date of the first start of the loan and ends on the last day of a given month.
d) Interest shall be repaid by the 10th day of the following month, after the end of the interest period, excluding the last interest instalment to be repaid
on 31.12.2037
(e) For the calculation of interest, a year shall be deemed to have 365 days.
5) Bank fees and commissions.
The Bank will not charge any fees and commissions for granting, servicing and repaying the loan, including early repayment of the loan, other than the interest rate specified in point 4.
6) Other provisions.
a) The possibility of not using the full amount of the loan is reserved.
b) The possibility of early repayment of the loan in whole or in part is reserved,
after prior written notification to the Contractor.
(c) In the event of under-utilisation of the credit, the repayment schedule shall be amended proportionately, without changing the repayment period.
d) Repayment of the loan will be secured by a blank promissory note together with a promissory note declaration, on which the Countersignature of the Treasurer will be submitted.
e) The Contracting Authority informs that the following materials such as: drafts, resolutions, reports
