The subject of the contract is the implementation in Katowice Special Economic Zone an IT tool for managing cooperation between the cluster coordinator and entities who are members of the Silesia Automotive & Advanced Manufacturing cluster (hereinafter referred to as “System”). The primary objective of the implementation of the System is to provide an IT tool (platform) that will ensure ongoing cooperation and exchange of information between enterprises and other entities who are members of the cluster in the field of joint initiatives, projects, workshops, trainings along with providing the necessary reports and statements.
1 The subject of the contract is the implementation in Katowice Special Economic Zone an IT tool for managing cooperation between the cluster coordinator and entities who are members of the Silesia Automotive & Advanced Manufacturing cluster (hereinafter referred to as “System”).
2 The main objective of the implementation of the System is to provide an IT tool (platform) that will ensure ongoing cooperation and exchange of information between enterprises and other entities that are members of the cluster in the field of joint initiatives, projects, workshops, trainings along with providing the necessary reports and summaries. For Cluster Administrator, the system will enable m.in: managing contacts, generating reports and summaries.
3 For cluster members, the system will enable m.in: uploading data to the Cluster Administrator, submitting ideas for initiatives, registering and using cluster services, but also exchanging views with the Cluster Administrator and other cluster members. The system is intended for registered users, i.e. cluster administrators, entity administrators and members of the entity. The system also provides contact and data collection from unregistered users.
4 The implementation of the subject of the contract is co-financed by the European Union under the European Regional Development Fund, Smart Growth Operational Programme, in connection with the implementation of project no. POIR.02.03.07-24-0001/21 entitled: "Development of the SA&AM cluster coordinator along with the development of new services" (Co-financed project).
5 As part of the implementation of the subject of the contract, the Contractor shall perform all activities necessary to deliver the System that meets the requirements resulting from the Agreement, OPZ and the Contractor's Offer.
6 In particular, the Contractor:
7 Develop and agree with the Ordering Party the Schedule for the implementation of the Project, the schedule may assume a phased acceptance of works,
7.1 Develop and agree with the Ordering Party the elements of the Technical Infrastructure necessary to install the System (the Ordering Party is considering installing the System on its own resources or as hosting at a third party),
7.2 Develop and agree with the Ordering Party a Business Concept (details in point 12.1 below),
7.3 Implement the System and perform the necessary modifications of the System, and if it is necessary to meet the functional requirements, will create and provide dedicated software enabling the implementation of the functionalities described in opz in points 3 and 4 below, the Agreement and the Business Concept,
7.4 Perform data migration (details in point 6 below),
7.5 Prepare and make available to the Ordering Party a test environment on the Contractor's resources,
7.6 Will provide support services in the configuration and preparation of the production environment,
7.7 Prepare and conduct tests of the System (details in point 14 below),
7.8 It will launch the System in production, including installing the System on the indicated Technical Infrastructure (details in point 7 below)
7.9 Prepare and conduct training for Cluster Administrators (details in point 13 below),
7.10 Prepare and provide the Ordering Party with Instructions for users and Administrators (details in point 15 below),
7.11 Will Stabilize the System (details in point 18 below),
7.12 Prepare and provide the Ordering Party with documentation (details in point 16 below),
7.13 Grant the Ordering Party a license to use the System and transfer to the Ordering Party the author's economic rights to the Copyright Elements, including source codes for the Author's Elements and dedicated software (details in point 9 below),
7.14 Will perform activities related to the warranty service of the System for a period of 12 months (details in point 20 below),
7.15 Ensure the maintenance of the System for a period of 12 months from the date of the Final Acceptance (details in point 21 below).
8 The implementation of the Project will be divided into Phases.
