Granting and servicing a loan or long-term loan to cover a deficit of PLN 3,600,000.00. The loan being the subject of the contract will be used to finance the investments planned in Appendix No. 3 to the Resolution No. L/311/22 of the City Council
Wąbrzeźno of 21 December 2022 on the city budget for 2023
Detailed information on the subject of the contract
1) Loan amount / left at the disposal of the ordering party on the day of signing the contract PLN 3,600,000.00
2) Loan period: until December 20, 2034.
3) Grace period for repayment of loans: until January 19, 2026.
4) Repayment of principal for the loan in the amount of PLN 3,600,000.00:
a) 2026 – 12 installments of PLN 5,000.00 each
b) 2027 – 12 installments of PLN 5,000.00 each,
c) 2028 - 12 installments of PLN 20,000.00 each,
d) 2029 – 11 installments of PLN 1,666.67 each and 12 installments of PLN 1,666.63,
e) 2030 – 11 installments of PLN 18,333.33 each and 12 installments of PLN 18,333.37,
f) 2031 – 12 installments of PLN 50,000.00 each,
g) 2032 - 12 installments each of 50.00

f) 2031 – 12 installments of PLN 50,000.00 each,
g) 2032 - 12 installments of PLN 50,000.00 each,
h) 2033 - 12 installments of PLN 75,000.00 each,
i) 2034 - 12 installments of PLN 75,000.00 each.
5) Security: Blank promissory note
6) The Contractor shall grant the contracting authority in 2023 a loan in the Polish currency: in the amount of up to PLN 3,600,000.00 (in words: three million six hundred thousand zlotys 00/100) on the terms specified in the contract with the possibility of releasing the loan in tranches at the written request of the Ordering Party,
7) Early repayment of each loan will not cause any financial consequences for the ordering party.
8) The contracting authority shall not pay a commission for the credit/loan readiness of the contractor.
9) The Ordering Party shall not pay a commission on the activation of loans.
10) The Ordering Party shall not pay commission or any other costs in the event of debt restructuring
in the future.
11) Apart from the amounts specified in the offer, i.e. interest on the loan or loan, the contractor will not charge any other fees and commissions.
12) The Ordering Party reserves the right not to use the full amount of the loan granted and the right to repay it early without additional fees and commissions.
13) The Ordering Party reserves the right to negotiate the amounts and repayment dates of the capital.
14) The Contractor undertakes to guarantee the acceptance of early repayment of part or all of the loan without charging the contracting authority with additional costs after prior notification to the contractor by the contracting authority within 7 days before the date of repayment, about the measure of making such repayment.
15) Interest on the used loan will be calculated from the date of indebtedness to the day preceding repayment.
16) The contractor shall each time notify the contracting authority of a change in the interest rate in writing, at the same time stating the interest rates applicable in a given period.
17) Interest will be paid by the 20th day of each month (inclusive).
(18) If the repayment date of the loan falls on a public holiday, the deadline shall be deemed to have been met if the repayment took place on the first working day after the deadline specified in the contract.
19) The contracting authority shall not pay a commission for the contractor's credit readiness. The Purchaser shall not pay commission or any other costs in the event of debt restructuring in the future.
20) The bank margin is a constant amount throughout the loan period.
21) The contracting authority allows for the possibility of changing the loan repayment schedule in the event of a change in the financial situation of the contracting authority, i.e. if during the term of the loan agreement there is a risk of exceeding the relationship referred to in Article 243 of the Act of 27 August 2009. on public finances (Journal of Laws of 2022, item 1634), then the contracting authority may apply to the contractor to change the repayment schedule, which will be accepted by both parties to the contract.
22) The Contractor may not make the granting of the loan dependent on the acceptance of bank service of the contracting authority and on credit insurance by the contracting authority. The contractor to service the loan should open a technical account – without fees and commissions.
23) The Contractor will not require any other collateral for the loan taken out apart from the blank in the blank together with the promissory note declaration with the countersignature of the Treasurer of the City of Wą-brzeźno.
24) The base rate will be determined on a quarterly basis, in accordance with the quotations of the rate
Wibor 3M two business days before the start of the new interest period.
