The subject of the contract is to grant a long-term bank loan up to PLN 8,611,209 in 2023.

The subject of the contract is: Granting a long-term bank loan up to the amount of PLN 8,611,209 in 2023, meeting the NW. requirements:

1. Amount of the loan granted: up to PLN 8,611,209 (in words: eight million six hundred eleven thousand two hundred and nine) to finance the planned budget deficit in the current year and repayment of previously incurred liabilities under loans and credits.

2. The Ordering Party reserves the right not to use the full amount of the credit (30%), without incurring additional fees and commissions.

3. The credit shall be used for future payments or costs already incurred.

4. It is required to make the credit available from the date of conclusion of the contract. The loan will be disbursed in the tranche(s) on the basis of the instruction to activate the tranches/s.

5. Estimated amount and deadlines for disbursement of tranches:

1) 01.10.2023 - up to PLN 5,611,209,

2) 01.12.2023 - up to PLN 3,000,000.

6. The Ordering Party reserves the right to change the number of tranches disbursed, the amount of loan tranches and the date of their release without incurring additional fees and commissions.

7. The method of disbursement of funds – to the bank account of the Ordering Party.

8. The loan should be granted on the basis of the variable reference rate WIBOR 3M plus a fixed margin of the bank.

9. The Ordering Party does not provide for the possibility of charging a commission for granting a loan.

10. Loan period – until 31.12.2040

11. Grace period for repayment of principal installments of the loan: the first installment of capital payable on 31/03/2026 and the last on 31/12/2040. Repayment of capital in installments in quarterly periods – loan installments payable as at 31.03., 30.06., 30.09., 31.12. of a given year in the amount of:

- 2026-2030 – 20 installments of PLN 50,000 each,

- 2031-2040 – 39 installments of PLN 190,280, and the last installment of PLN 190,289.

12. Interest will be calculated and paid monthly only on the outstanding capital, interest payable on the last day of a given month – the first payment on the last day of the month in which the loan was launched and the last on 31.12.2040.

13. Variable interest rate based on WIBOR 3M and fixed bank's margin.

14. Form of loan security accepted by the Ordering Party – blank promissory note.

15. The contract must provide for the possibility of early repayment of all or part of the loan without incurring additional fees and commissions.

16. The Contractor shall not charge any additional fees and commissions for granting and servicing the loan other than those listed in the SWZ and presented in the offer.
