1. Launch, management and comprehensive operation of the Otwock City Bike system in the years 2023-2026.

2. Commitment to launch the service on the offered date, no later than

within 14 days of signing the contract by both parties.

3. Ensuring the functioning of 10 bicycle stations with 70 pcs. standard bikes and 6 pcs. children's bicycles during the period of operation of all stations.

4. Providing free time of using the bike for the first 20 minutes, and after exceeding the free time of using the bike, the fees for renting a bike should be as follows: from 21 to 60 minutes - PLN 1, from 61 to 120 minutes - PLN 3, from 121 to 180 minutes - PLN 5, from 180 to 240 and each subsequent hour - PLN 7; (the contracting authority reserves the right to change the price list during the duration of the ORM project)

Detailed description of the subject of the contract:

1. The subject of the agreement is the service of launching, management and comprehensive operation of the Otwock City Bike system in the years 2023-2026, hereinafter referred to as the "system" or "ORM".

2. The contract shall be concluded for a definite period from the date of signature to

31 October 2026

3. The system will be launched no later than within 14 days from the date of signing the contract.

4. The Contractor undertakes to remove failures and defects in the elements of the city bike system within a maximum time of 48 hours, with the maximum time for bicycles being 24 hours.

5. Location of bicycle stations according to locations provided by the Ordering Party.

6. The Contractor undertakes to transfer a maximum of 2 pieces free of charge. designated stations annually to new locations indicated by the Ordering Party.

7. Delivered bicycles and elements of bicycle station equipment in the first year will be brand new, free from any defects in production, construction, materials or resulting from improper quality of their workmanship.

8. The Contractor undertakes to:

(a) provide and maintain communication systems at its own expense;

and software necessary for the functioning, supervision and settlement of the bicycle system,

b) provide on their own and at their own expense the relocation of bicycles, service and repair of all elements of bicycle equipment – in particular bicycles, bicycle stations, devices and software, elements of the communication system and the settlement and payment system,

c) maintain bicycles and bicycle stations in proper aesthetic condition on their own and at their own expense through systematic cleaning and replacement of damaged elements,

d) make all settlements with bicycle users, including final settlements (also for deposits paid).

9. The Contractor is obliged to maintain the number of bicycles indicated in point 4 point 3 above for the entire duration of the contract. In the event of loss of bicycles, the Contractor is obliged to supplement the lost bikes within 48 hours.

10. The Contractor shall be obliged to provide the Contracting Authority with periodic reports on the performance of activities constituting the subject of the Agreement, for monthly periods, submitted by the 10th day of the following month, in the scope of:

(a) the number of faults, failures, system malfunctions and bicycle operation defects, including an indication of the type and quantity,

b) repair time from notification and method of repairing defects, system failures and defects related to the operation of bicycles,

(c) the number of users who have been registered and deregistered from the system since its inception, broken down by month and day,

d) the number of active users in the season, i.e. those who have used rentals at least once in the current season,

e) the number and subject of customer complaints and the manner of their settlement,

f) the number of rentals, returns and cancellations of bicycles at individual stations

divided into individual weeks and days, from the beginning of the service,

g) the number of rentals made broken down into time periods determining individual fees,

h) the number of station fillings in bicycles, broken down by days and hours,

i) the number of operational bicycles in the system broken down by days and hours.
