1.The subject of the proceedings is the Supply of electricity for the Purchasing Group established by the City of Leszno for the year 2024.2.The supply of electricity will take place in accordance with applicable law, in particular under the conditions set out in the provisions of the Act of 10 April 1997 - Energy Law (i.e. Journal of Laws of 2022, item 1385, as amended), executive regulations to this Act, in particular the Regulation of the Minister of Economy of 4 May 2007 on detailed conditions functioning of the power system (Journal of Laws of 2023, item 819) and the provisions of: the Act of 23 April 1964 - Civil Code, the Act of 11 September 2019 - Public Procurement Law (i.e. Journal of Laws of 2023, item 1605, as amended), the Act of 6 December 2008 on excise duty (i.e. Journal of Laws of 2023, item 1542) and the rules set out in concessions or provisions of the Agreement. This order does not cover the provision of electricity distribution services.

Part I – the order covers the supply of electricity in the planned amount of 7.029.395 kWh, from 01.01.2024 to 31.12.2024 (12 months) to electricity consumption points in accordance with Annex 1A to the SWZ.

A detailed description of the subject of the contract together with a list of electricity consumption points for Part I of the subject of the contract is included in Annex 1A to the SWZ. The electricity consumption declared in the above-mentioned annexes is an estimate and serves only for the purpose of calculating the price of the Offer. As part of the performance of the contract, the Contractor is also responsible for commercial balancing. The contracting authority, within the framework of this contract, provides for the possibility of exercising the right of option, in the circumstances, deadlines and to the extent referred to below. In the course of the contract, the Ordering Party reserves the right to increase by 1 054 409 kWh the total amount of energy specified in Chapter III paragraph 5 letter a) SWZ - in the scope of Part I of the subject of the contract. For Part I of the subject of the contract, the Contractor is obliged to have agreements with the Distribution System Operator (DSO), i.e. ENEA OPERATOR Sp. z o.o. and PGE ENERGETYKA KOLEJOWA SA, operating in the Ordering Party's area, in force throughout the entire period of this contract, enabling the conclusion of effective agreements and the sale of electricity via the DSO distribution network to electricity consumption points specified in Annex 1A to the SWZ.

The start of electricity supply will take place from 01.01.2024. The Ordering Party stipulates that the above-mentioned agreements with the DSO Distribution System Operator should be held by the Contractor as at the date of submission of bids or at the latest on the day of commencement of electricity delivery.

The authorized Ordering Party informs that for all electricity consumption points, the procedure of changing the seller is carried out once again. For all electricity consumption points specified in Annex 1A to the SWZ, electricity sales agreements concluded for a definite period until 31.12.2023 with ENERGA OBRÓT S.A. apply. All metering and settlement systems adapted (including for electricity consumption points that have Bxx tariff groups) are in accordance with the TPA principle. The procedure for changing the seller is carried out once again.

Part II – the order covers the supply of electricity in the planned amount of 4,902,038 MWh, from 01.01.2024 to 31.12.2024 (12 months) to electricity consumption points in accordance with Annex 1B to the SWZ.

A detailed description of the subject of the contract together with the list of electricity consumption points for Part II of the subject of the contract is included in Annex 1B to the SWZ. The electricity consumption declared in the above-mentioned annexes is an estimate and serves only for the purpose of calculating the price of the Offer. As part of the performance of the contract, the Contractor is also responsible for commercial balancing. The contracting authority, within the framework of this contract, provides for the possibility of exercising the right of option, in the circumstances, deadlines and to the extent referred to below. In the course of the contract, the Contracting Authority reserves the right to increase by 735 306 MWh the total amount of energy specified in Chapter III, paragraph 5 letter b) of the SWZ - within the scope of Part II of the subject of the contract.

For part II of the subject of the contract, the contractor is obliged to have agreements with the Distribution System Operator (DSO), i.e. ENEA OPERATOR Sp. z o. o., operating in the Ordering Party's premises, in force throughout the entire period of this contract, enabling the conclusion of effective contracts and the sale of electricity via the DSO distribution network to electricity consumption points specified in Annex 1B to the SWZ.

The Ordering Party stipulates that the above-mentioned agreements with the DSO Distribution System Operator should be held by the Contractor as at the date of submission of bids or at the latest on the day of commencement of electricity delivery.

A detailed description of the subject of the contract together with a list of electricity consumption points for Part III of the subject of the contract is included in Annex 1C to the SWZ. The electricity consumption declared in the above-mentioned annexes is an estimate and serves only for the purpose of calculating the price of the Offer. As part of the performance of the contract, the Contractor is also responsible for commercial balancing. The contracting authority, within the framework of this contract, provides for the possibility of exercising the right of option, in the circumstances, deadlines and to the extent referred to below. In the course of the contract, the Ordering Party reserves the right to increase by 198 011 kWh the total amount of energy specified in Chapter III, paragraph 5 letter c) of the SWZ - within the scope of Part III of the subject of the contract.

For part III of the subject of the contract, the contractor is obliged to have agreements with the Distribution System Operator (DSO), i.e. ENEA OPERATOR Sp. z o. o., operating in the Ordering Party's premises, in force throughout the entire period of this contract, enabling the conclusion of effective contracts and the sale of electricity via the DSO distribution network to electricity consumption points specified in Annex 1C to the SWZ.
