The subject of the contract is the supply of electricity to the Ordering Party's facilities in the period from 01.01.2023 to 31.12.2024 divided into two parts:

Part I concerns energy consumption points (also called PPE) for street lighting, the size of the contract planned during the term of the contract is: 17 339 092 kWh – according to Annex 1A to the SWZ.

Part II concerns PPE for other facilities, the size of the contract planned during the term of the contract is: 30 516 303 kWh – according to Annex 1B to the SWZ.

Each of the Contractors may submit a tender for any number of parts of the contract, but only one bid may be submitted for one part. The detailed scope of the contract is specified in Annex 1A, 1B to the SWZ, in accordance with the provisions of the Energy Law Act of 10 April 1997. Other conditions regarding the execution of the contract are specified in the draft provisions of the contract for the sale of electricity – Appendix No. 2A to the SWZ and Appendix No. 2B to the SWZ.

The supply of electricity will take place under the conditions set out in the provisions of the Act of 10 April 1997 – Energy Law and in accordance with the implementing regulations issued to this Act, in particular with the standards of quality of customer service specified in the Regulation of the Minister of Energy of 6 March 2019. on detailed rules for the formation and calculation of tariffs and settlements in electricity trading. The quality parameters of electricity in the distribution part are regulated by the Regulation of the Minister of Economy of 4 May 2007 on the detailed conditions for the functioning of the power system.

Distribution services will be provided on the basis of a separate agreement concluded by the Ordering Party with the relevant Distribution System Operator (called DSO).

The requirements for the contractor are described in the draft provisions of the sales contract constituting Appendix No. 2A, 2B to the SWZ. Performance of activities resulting from the power of attorney constituting Appendix No. 2 to the Agreement for the Sale of Electricity, hereinafter referred to as the Agreement. The Contracting Authority shall grant the contractor selected in the proceedings a power of attorney to:

1. Notification of the relevant DSO about the conclusion of the contract for the sale of electricity and about the planned date of commencement of the sale of electricity, together with an indication of the reserve seller selected by the Principal.

2. Submitting a notice of termination or submitting a statement on the termination of the existing comprehensive agreement (sale of electricity and provision of distribution services), sales agreement, distribution agreement for electricity consumption points included in Annex 1 to the Agreement and new consumption points, in accordance with the schedule of termination of contracts contained in Annex 1 to the Agreement.

3. Leading to the conclusion of the Distribution Services Agreement by submitting to the Distribution System Operator only the required application for the conclusion of the distribution services agreement

4. Representing the Ordering Party in contacts with the existing Electricity Seller or the Distribution System Operator in matters related to the process of changing the Seller applies to the collection points included in Appendix No. 1 to the Agreement.

5. Representing the Ordering Party in contacts with the Distribution System Operator in matters related to the seller's notification process for new electricity consumption points, to which the Ordering Party has received from the DSO the number of the contract for the provision of electricity distribution services.

Existing contracts for the sale of electricity with existing electricity sellers for electricity consumption points included in Annex 1A, 1B SWZ are concluded for a definite period, and the exact description for each of the PPE points can be found in the column called "Contract duration / notice period".

Annex 1A, 1B to the SWZ informatively indicates the current parameters (tariff group/contractual capacity) that may be subject to change during the term of the electricity sales contract.

In the course of the performance of the contract, the ordering party reserves the right to reduce or increase the total amount of electricity purchased in the scope of increasing to 10%, reducing to 30%, in relation to the electricity consumption indicated in paragraph 4.1. point 4.1.1. SWZ. The occurrence of the circumstances referred to above will result in a reduction or increase in the remuneration due to the contractor for the performance of the contract, respectively. The Ordering Party has the right, during the term of the contract to change the tariff groups, the contractual capacity for individual PPEs specified in Annex 1 to the contract after prior agreement of the technical conditions to make these changes with the DSO.

The Ordering Party has the right, during the term of the contract to change the tariff groups, the contractual capacity for individual PPEs specified in Annex 1 to the contract after prior agreement of the technical conditions to make these changes with the DSO.
