The subject of the contract is the granting and servicing of a long-term PLN loan in the amount of PLN 19,439,864.00 intended for repayment of previously incurred liabilities falling after the financial year in order to reduce the total cost of servicing these liabilities.

2.The Bank makes the loan available to the Ordering Party immediately after the conclusion of the contract, but no later than by 28.12.2023.
3. Term of performance of the contract: 173 months, but not earlier than from the date of conclusion of the contract until the final repayment of the loan expected for December 2037. The repayment of capital installments resulting from the loan agreement will take place in the period from March 2024 to December 2037.
4. The total repayment of capital installments resulting from the loan agreement will take place over a period of 14 years starting from January 2024 to December 2037 until the last day of each quarter in accordance with the schedule presented below: January 2024 – December 2024 – quarterly installment amount PLN 87500.00; January 2025–December 2025 – quarterly installment amount PLN 137500.00; January 2026 – December 2026 – quarterly installment amount PLN 187500.00; January 2027–December 2027 – quarterly installment amount PLN 275000.00; January 2028–December 2028 – quarterly installment amount PLN 195000.00; January 2029–December 2029 – quarterly installment amount PLN 350000.00; January 2030–December 2033 – quarterly installment amount PLN 437500.00; January 2034-December 2036 – quarterly installment amount PLN 500000.00; January 2037–December 2037 – quarterly installment amount PLN 377466.00
5. The Ordering Party does not provide for the possibility of repayment of loan installments in foreign currencies. All calculations between the contractor and the contracting authority will be made in Polish zlotys (PLN).
6. The detailed material scope of the subject of the contract and the manner of performance is specified in the SWZ and its appendix. A detailed description of the subject of the contract is included in Appendix No. 1 to the SWZ.
7. The Contracting Authority shall not divide the contract into lots. Thus, the contracting authority does not allow the submission of partial bids referred to in Article 7(15Pzp). The division of the contract would result in the contracting authority not achieving a favorable economic effect in connection with the commitment. In addition, the division of the subject of the contract will also cause technical difficulties, additional costs of contract performance and the inability to coordinate the activities of various contractors performing individual parts of the contract, including the launch and repayment of the loan.
8.Pursuant to Article 95Pzp, the contracting authority requires that the contractor or subcontractor performing activities related to the performance of the contract employ employees on the basis of an employment relationship. This requirement applies to persons who perform activities directly related to the granting and servicing of the loan during the term of the contract.
9. The contracting authority does not provide for requirements for the employment of persons referred to in Article 96(2)(2) of the Public Procurement Law.
10.The contracting authority shall not make the reservation referred to in Article 94Pzp.
11. The contracting authority does not provide for the award of contracts referred to in Article 214(1)(7) and (8PZP).
12. The Contracting Authority does not provide for the possibility or require the Contractor to carry out an on-site inspection or check by the Contractor of documents necessary to perform the contract (Article 131(2)of the Public Procurement Law).
13. The Ordering Party does not provide for the return referred to above, except for the case referred to in Article 261Pzp.
14. The Contracting Authority shall not reserve the personal performance of key tasks by the Contractor both in relation to the Contractor (Article 121Pzp) and individual Contractors jointly applying for the award of the contract (Article 60Pzp).
15. The contracting authority does not provide for the conclusion of a framework agreement for the procedure in question.
16. The Contracting Authority does not provide for the selection of the most favourable bid by electronic auction.
17. Pursuant to Article 462(1) of the Public Procurement Law, the Contractor may entrust the performance of part of the contract to a Subcontractor.
18. The Ordering Party does not require submitting an offer in the form of electronic catalogues or attaching electrical catalogues to the offer, and does not allow such a possibility.
