The subject of this contract is the supply of electricity to the Ordering Party's facilities in the period from 01.01.2023 to 31.12.2023 in accordance with the provisions of the Energy Law act of 10 April 1997.

4.1.1. Electricity should meet technical standards in accordance with the provisions of the Act of 10 April 1997. Energy Law (Journal of Laws of 2021, item 716, as amended) and implementing regulations to this Act and Polish Standards.

4.1.2. A detailed description of the subject of the contract is included in ANNEX 7 to SWZ. Other conditions for the performance of the contract are specified in the model contract (ANNEX No. 6 to the SWZ).

4.1.3. The Municipality of Inowłódz (the Ordering Party) acts on its own behalf and is authorized to conduct the tender procedure on behalf of all organizational units.

4.1.4. The Ordering Party and organizational units will conclude separate agreements resulting from this public procurement procedure.

4.1.5. The estimated demand for electricity for the Ordering Party's facilities in the period from 01.01.2023 to 31.12.2023 is 658 031 kWh - Annex No. 7 to SWZ.

4.1.6. The Ordering Party declares that:

(a) the procedure for selecting an energy seller in the form of a tender shall take place once again;

(b) has concluded contracts:

- sale of electricity from Entrade Sp. z o.o., valid until 31.12.2022;

- comprehensive energy sales and distribution services for 4 PPE from PGE Obrót SA, valid for an indefinite period, with a three-month notice period;

- for the distribution of electricity from DSOs: PGE Dystrybucja SA Łódź Branch;

c) the forecast of energy consumption indicated above and in the Description of the subject of the contract is only an approximate value, which may change during the performance of the contract, and the actual energy consumption (less or greater than the forecast indicated in ANNEX No. 7 to SWZ) will depend only on the actual needs of the Ordering Party, and the Seller is obliged in each case to apply the energy prices offered in the tender;

d) agrees to the conclusion of the contract by correspondence;

e) the Contractor selected in the proceedings, will make the PPE data available in electronic form, immediately after the conclusion of the contract.

4.1.7. ANNEX No. 7 to the SWZ informatively indicates the distribution parameters (tariff group, ordered capacity), which may be subject to change during the term of the contract for the sale of electricity.

4.1.8. Subject of the contract according to the Common Procurement Vocabulary: 09000000-3, 09300000-2, 09310000-5.

4.1.9. The estimated demand for electricity is only indicative, used to compare offers and in no case constitutes an obligation on the part of the Ordering Party to purchase energy in the given quantity.

4.1.10. The Contractor may not assert any financial claims from the Ordering Party (e.g. compensation) if, during the term of the contract, the Ordering Party purchases from the Contractor a smaller or larger amount of electricity than the forecasted amount indicated in the description of the subject of the contract - ANNEX No. 7 to the SWZ, in particular caused by an increase or decrease in the amount of PPE.

4.1.11. The Energy Supplier is obliged to have a distribution agreement concluded with the Distribution System Operator (DSO) competent for the Ordering Party's facility, at the latest on the date of conclusion of the contract regarding the said order and for a period not shorter than until 31.12.2023.

4.1.12. The Contractor undertakes to provide the Ordering Party with quality standards of service in accordance with the applicable provisions of the Energy Law.

4.1.13. The Contractor shall be obliged to act as the entity responsible for commercial balancing for electricity sold under the subject of the contract.

4.1.14. The subject of the contract does not include the provision of electricity distribution services, and electricity distribution services will be provided on the basis of separate agreements concluded by the Ordering Party with the relevant Distribution System Operator – DSO data are included in ANNEX No. 7 to SWZ.
