Granting and servicing a credit or long-term loan for the repayment of installments of loans contracted in previous years in the amount of PLN 1,975,000.00. The loan/loan being the subject of the order will be used to finance the repayment of loans contracted in previous years in accordance with Resolution No. L/311/22 of the Wąbrzeźno City Council of December 21, 2022, on the adoption of the budget of the Wąbrzeźno City Municipality for 2023, as amended by Resolution No. LV/337/23 of the Wąbrzeźno City Council of June 7, 2023, amending the resolution on the adoption of the budget of the Wąbrzeźno City Municipality for 2023.

1) The amount of the loan left at the disposal of the contracting authority on the date of signing the agreement PLN 1,975,000.00

2) Loan period until 20 December 2034

3)Grace period until 19 January 2031

4) Repayment of the principal for the loan:

2031 – 11 instalments of PLN 41,666.67 each and one 12th instalment of PLN 41,666.63

2032 – 12 instalments of PLN 50,000.00 each,

2033 - - 12 installments of PLN 52,500.00 each,

2034 – 11 installments of PLN 20,416.67 each and 12 installments of PLN 41,666.63 each

5) Security: Blank promissory note

6) In 2023, the Contractor will grant the Contracting Authority a loan in the Polish currency:

in the amount of up to PLN 1,975,000.00 (say: one million nine hundred seventy-five thousand zlotys 00/100) on the terms and conditions specified in the agreement with the possibility of disbursing the loan in tranches at the written request of the Contracting Authority,

7) Early repayment of each loan will not cause any financial consequences for the ordering party.

8) The contracting authority shall not pay a commission for the credit/loan readiness of the contractor.

9) The Ordering Party will not pay any commission on the disbursement of the loan.

10) The Contracting Authority will not pay any commission or any other costs in the event of debt restructuring in the future.

11) Apart from the amounts specified in the offer, i.e. interest on the loan or loan, the contractor will not charge any other fees and commissions.

12) The Ordering Party reserves the right not to use the full amount of the loan granted and the right to repay it early without additional fees and commissions.

13) The Ordering Party reserves the right to negotiate the amounts and repayment dates of the capital.

14) The Contractor undertakes to guarantee the acceptance of early repayment of part or all of the loan without charging the Contracting Authority with additional costs after the Contracting Authority notifies the Contractor within 7 days prior to the date of repayment of the intention to make such repayment.

15) Interest on the used loan will be calculated from the date of indebtedness to the day preceding repayment.

16) The contractor shall each time notify the contracting authority of a change in the interest rate in writing, at the same time stating the interest rates applicable in a given period.

17) Interest payments will be made by the 20th of each month (inclusive).

(18) If the repayment date of the loan falls on a public holiday, the deadline shall be deemed to have been met if the repayment took place on the first working day after the deadline specified in the contract.

19) The Contracting Authority will not pay any commission for the contractor's creditworthiness. The Contracting Authority will not pay any commission or any other costs in the event of debt restructuring in the future.

20) The bank margin is a constant amount throughout the loan period.

21) The Contracting Authority allows for the possibility of changing the loan repayment schedule in the event of a change in the financial situation of the Contracting Authority, i.e. when during the term of the loan agreement there is a risk of exceeding the relationship referred to in Article 243 of the Act of 27 August 2009. (Journal of Laws of 2022, item 1634), then the contracting authority may apply to the contractor

with a request for a change in the repayment schedule, which will be accepted by both parties to the agreement.

22) The Contractor may not make the granting of a loan conditional on the acceptance of the contracting authority's banking services and on the contracting authority's credit insurance. The contractor should open a technical account – without fees or commissions.

23) The Contractor will not require any other security for the loan taken out than a blank promissory note together with a promissory note declaration countersigned by the Treasurer of the Wąbrzeźno Municipality.

24) The Contracting Authority agrees to the contractor offering a loan from the European Investment Bank.

(25) Wherever a credit is mentioned, it is understood to mean a credit or a loan. Where the term "bank" is used, it should be understood as a contractor who grants a credit or loan to the contracting authority.

26) The base rate will be set on a quarterly basis, in accordance with the Wibor 3M rate quotations two business days prior to the start of the new interest period.

27) All payments resulting from the agreement will be payable in Polish zloty.

28) Due to the specificity of the subject matter of the contract and the necessity for contractors to prepare financial analyses, the contracting authority informs that the necessary financial documents helpful in this analysis are available on the website of the Wąbrzeźno City Hall in the BIP Finances of the Municipality tab, located in the Section: Announcements and information.
