The subject of the contract is a comprehensive supply of electricity including the sale of electricity and the provision of electricity distribution service through the distribution network belonging to the Distribution System Operator to collective applicant points be ordered in accordance with the list set out in Annexes No 2A and 2B to SWZ. The scope of the contract includes the sale and distribution of electricity to the specified entities in the year 2023, in a quantity consistent with the estimated demand of 121,651 648.10 kWh.

The other conditions for execution of the contract are set out in the draft contracts annexes 9A and 9B to the SWZ.

The scope of the contract includes the sale and distribution of electricity to the specified entities in the year 2023, in a quantity consistent with the estimated demand of 121,651 648.10 kWh.

2.The projected electricity consumption during the term of the contract for individual Contractors shall be:

for Street and Road Lighting Sp. z o.o. (OUiD) - 58 500 000,00 kWh

for the Commons together with units of org. and other entities - 63,151 648.10 kWh

3. The estimated quantity of supply does not constitute an obligation to consume energy in the quantity given by the Contractor and shall not in any event be the basis of any claims by the Contractor. The actual amount of purchased energy confirmed by the indications of measurement and billing systems during the execution of contracts will only result from the current needs of the Contracting Authority, and the prices specified by the Contractor in the offer will be binding on the Contractor regardless of the actual quantities. In accordance with Article 433 (4) of the Act, the Pzp Contracting Authority declares that the reduction in the amount of energy processed will not occur by more than 12% of the original contract range. The above circumstance, i.e. reducing the amount of energy ordered to the percentage indicated will not affect the change in the amount of the Contractor's unit rates. The supply of electricity will meet the quality standards set out in the Energy Law Act and the implementing acts.

4. Contractors have the right to change the quantity (increase, decrease) of electricity intake points during the completion of the subject of the order, the price rates indicated in the Offer Form are also valid for new/additional electricity intake points.

5. The supply of electricity will be carried out under the terms of a comprehensive service within the meaning of Article 3 point 30 of the Act dated 10.04.1997. Energy law along with executive acts.

6. Settlements between the parties for the provision of a comprehensive electricity supply service shall be carried out in accordance with the provisions set out in the draft contracts constituting No. 9A and 9B to SWZ.

7. In cases where there is a need to carry out a procedure for changing the seller in the framework of the implementation of the contract, the Contractor shall be obliged to carry out any activities related to the process of changing the seller of electricity (in accordance with the Traffic Instruction and Operation of the Distribution Network of the relevant DSO) in particular to:

(a) notification to the competent DSO for the implementation of the concluded comprehensive contract for the sale and supply of electricity

(b) termination of the existing agreement for the provision of electricity distribution services concluded with the local DSO, i.e. ENERGA-OPERATOR SA (if applicable).

(c) To carry out any other actions, including making statements of will and knowledge, related to the activities referred to in points above.

(d) submit a declaration of will on termination of existing contracts for the sale of electricity and the provision of electricity distribution services (comprehensive agreement) or contract of sale of electricity to the existing seller or termination of the contract of sale of energy electricity and the provision of electricity distribution services (comprehensive agreement) or contract for the sale of electricity under the agreement of the parties,

(e) represent the Ordering Party before the competent DSO in matters related to the procedure for changing the seller of electricity in accordance with the current Operation and Distribution Network Operation Instruction of the relevant DSO;
