1. The subject of the order is the service: Granting and servicing of a long-term bank loan in the amount of up to PLN 13,000,000.00.

2. A detailed description of the subject of the contract is attached as Annex 1 to the ToR to be downloaded from the Awarding Entity's website: www.bip.kwidzyn.pl tab: Public contracts >> with a value exceeding EUR 30,000 >> name of the contract.

1. Granting and servicing a long-term bank loan in the amount of up to PLN 13,000,000, with repayment deadline by 31/12/2028. The loan will be used to finance the planned 2020 budget deficit and repayment of previously drawn loans.

2. Activation of the loan by 31/12/2020 once or in tranches, no later than 5 days from submitting the application. Launching a loan or loan tranche means the day the funds are credited to the Order account.

3. The loan will be repaid in the years:

- 2021: 60,000 PLN (1 installment payable until 30/11/2021),

- 2022: 60,000 PLN (1 installment payable until 30/11/2022),

- 2023: PLN 100,000 (1 installment payable until November 30, 2323),

- 2024: PLN 1,860,000 (12 installments of PLN 155,000 each),

- 2025: PLN 2,400,000 (12 installments of PLN 200,000 each),

- 2026: PLN 2,760,000 (12 installments of PLN 230,000 each),

- 2027: PLN 2,880,000 (12 installments of PLN 240,000 each),

- 2028: PLN 2,888,888 (12 losses for PLN 240,000).

4. In the years 2024–2028 repayment will take place in equal installments, on a monthly basis on the last day of the month, except for December. Repayment for December will be made until December 20.

5. In the event that the loan or interest repayment date falls on a non-working day, the repayment will take place on the first business day after that day. However, it should be taken into account that this is the maximum deadline and it is possible to repay the loan installment earlier, e.g. on the last business day of the month, without having to inform the bank in advance.

6. The interest will be repaid on a monthly basis up to the 10th day of the next month for which interest is accrued, except for December, starting from the date of the first loan tranche. Interest for the month of December will be payable by the end of December each year. The bank will be required to calculate interest and send a charge for the Order. not later than 5 days before the due date of interest payment.

7. The loan interest rate will be calculated on the basis of the variable Wibor 1M rate, calculated as the arithmetic average of the last 5 days of quotation of Wibor m. Rates - preceding, for each subsequent mi-c - accounting period. The calculated rate will be rounded to 2 decimal places.

8. For the calculation and repayment of interest, it is assumed that the year and month have the actual number of calendar days.

9. The loan will be granted on the basis of an agreement proposed by the bank and accepted by the Order.

10. The loan repayment guarantee will be a blank promissory note.

11. Capitalization of interest is not allowed.

12. Subject to inclusion in the contract the possibility of early repayment of the loan or resignation from all or part of the loan without incurring additional costs arising from these titles.

13. In the event of early repayment of individual installments or the entire loan, interest will be charged only for the period up to the repayment date.

14. The only cost of the loan will be interest, no commission or other costs are anticipated.

15. The bank's margin will be assessed.
