Operation of a joint service company in the legal form of a limited liability company for the provision of non-medical services, in particular for the hospitals Schongau and Weilheim and associated institutions, mainly of hygiene and cleaning services and domestic services as well as optionally taking over of economic and administrative services, catering and material logistics.

The subject of the present contract is the establishment of a joint service company in the legal form of a GmbH (share capital 25,000.00 EUR) together with a cooperation partner as a contractor. The client will acquire a 51% interest in this company and the contractor 49%. The goal is a future VAT tax group between the client and the service company.

The object of the company is the economic provision of non-medical services, in particular for the hospitals Schongau and Weilheim and associated institutions, mainly hygiene and cleaning services and domestic services as well as optionally the acquisition of economic and administrative services, catering and material logistics.

In addition, the contractor should contribute its know-how to the joint service company and advise the service company so comprehensively that it can provide the services agreed between it and the client in an optimal and contractual manner.

The service company should provide the following services, whereby two steps should be taken: "Level I": cleaning and hygiene services (as of 1.10.2019), kitchen work (at a later time to be determined by the client) and "Level II": optional Benefits (individually or jointly) - for the areas of patient reception, patient admission and service staff private patients. The cleaning and hygiene services in Stage I include in particular the provision of maintenance cleaning and glass cleaning (the latter optional). The annual cleaning area is approx. 8.8 million m 2 , The Level II benefits are all awarded as options.

At the moment the client in Weilheim has 4.25 FTE (corresponds to 5 persons) and at the location Schongau 2.25 FTE (corresponds to 3 persons) is working in the respective functional area. The employment relationships are subject to TVöD-VKA / BT-K. These employees take over the service company through a partial transfer of business according to § 613 a BGB with effect from 1.10.2019.
