The subject of the contract is to grant a long-term loan in the amount of PLN 21,300,000 (say: twenty-one million three hundred thousand zlotys) for the purpose of:

- financing the planned budget deficit in the amount of PLN 21,300,000.

Loan terms:

1. Loan currency: PLN (Polish zloty).

2. Loan security: a blank promissory note with a promissory note declaration.

3. Readiness to grant a loan - from the day following the date of signing the agreement.

4. Utilisation of the credit - until 29 December 2023

5. Grace period in repayment of the principal - until 24.01.2024

6. Interest rate calculated on the basis of WIBOR 3M - according to the average of quotations for the period of 10 days preceding the accounting period, i.e. the rate set for a period of 3 months in the amount of WIBOR 3M as the arithmetic average from the last decade of the last month of the quarter (i.e. together with holidays, where the rate from the previous day applies) and applicable to determine the interest rate starting from the 1st day of the next quarter.

7. The funds will be transferred to the current account of the Contracting Authority within 3 working days from the submission of the requisition (in accordance with the Contractor's offer).

8. The Ordering Party reserves the right to use a smaller amount of credit - without incurring any costs in this respect.

9. If the loan amount is not used in full, interest will be calculated only on the amount actually used, payable by 25 January 2024 and on the date of payment of subsequent installments.

10. The amount of the commission should be specified as a percentage of the loan amount as a separate rate.

11. Repayment of the loan in 180 monthly principal instalments, in such a way that the annual repayment of the principal amounts to PLN 1,420,000 (one million four hundred twenty thousand 00/100 PLN), instalments increased by the interest due, determined each time by the Contractor with an interest note. Installments payable by the 25th day of each month.

The first instalment of the principal repayment is set for 25 January 2024, the last one is scheduled for 25 December 2038. The amount of interest on the loan should also take into account the expected amount of commission for granting the loan. (...)
