The subject of the contract is the granting of a long-term loan in the amount of PLN 2,999,000 to finance the planned budget deficit.
The scope of the subject of the contract includes in particular:
1) Loan activation date: until 31.12.2023.
2) The Contractor shall grant a loan in the Polish currency.
3) Tranches of loan payments will be released at the written request of the Ordering Party within 1 to 5 business days in the amount indicated in the application.
4) The loan will be granted for the period from the date of signing the loan agreement until 31.12.2030.
5) The loan will be repaid in quarterly principal installments in 2025-2030. Installments payable on the last working day of each quarter. The amount of capital installments:
- 4 installments of PLN 49750 in 2025,
- 4 installments of PLN 140,000 in each subsequent year from 2026 to 2030.

2. The detailed scope of the subject matter of the order shall include in particular:
1) Loan start-up date: by 31 December 2023.
2) The Contractor shall grant the Contracting Authority a loan in the Polish currency in the amount of PLN 2,999,000 (in words: two million nine hundred ninety-nine thousand 00/100).

Installments payable on the last working day of each quarter. The amount of capital installments in the years 2025-2030:
- 4 installments of PLN 49,750 each in 2025
- 4 installments of PLN 140,000 each in 2026
- 4 installments of PLN 140,000 each in 2027
- 4 installments of PLN 140,000 each in 2028
- 4 installments of PLN 140,000 each in 2029
- 4 installments of PLN 140,000 each in 2030
6) The interest rate on the loan is the sum of the 3M WIBOR rate calculated as the arithmetic mean
from the period from the first to the last day of the month preceding the month in which the payment will be made starting from the 1st day of the following month and a fixed margin during the contract.
7) Repayment of accrued interest on the loan – will be payable on the last business day of the month starting from the month in which the loan tranche was launched. The Contractor shall inform the Contracting Authority about the amount of interest to be paid on the used part of the loan in writing (e.g. e-mail), at least 5 days before the payment date.
8) The Ordering Party reserves the right not to use all or part of the planned loan without incurring additional fees.
9) The possibility of early repayment of the loan without incurring any charges in this respect.
In the event of early repayment of part of the loan, the loan period remains unchanged, unless
that the Ordering Party shall submit a different instruction in writing.

4. The Contracting Authority shall not divide into lots due to the specificity of the contract. Allowing the possibility of submitting partial offers could result in a higher cost of servicing the loan. Thus, the Contracting Authority does not allow the submission of partial bids referred to in Article 7(15) of the Public Procurement Law.
5. The contracting authority does not allow the possibility of submitting variant offers and in the form of electronic catalogues.
6. The contracting authority does not provide for the award of contracts referred to in Article 214(1)(7) and (8).

If, with regard to the above-mentioned elements of the description of the subject of the contract, any doubts or ambiguities would arise in the Contractor, then for the final resolution of the requirements of the Contracting Authority in this matter and the preparation of the offer by the Contractor – explanations, clarifications and supplementary information obtained during the formal procedure of possible inquiries to the SWZ will be binding.
