1. The subject of the contract is the delivery of Power Supply Modules for the SIS100 accelerator of the FAIR infrastructure together with transport.

2. Place of delivery: (DDP Incoterms 2020) is the registered office of FAIR GmbH located at Planckstrasse 1, 64291 Darmstadt, Germany.

3. A detailed description of the ordering party's needs and the characteristics of the delivery being the subject of the contract can be found in Appendix No. 2 to OPW – OPZ. At the same time, it is a document constituting minimum requirements related to the subject of the contract and will not be subject to negotiations.

5. The detailed scope of performance of the subject of the contract, which is the proposed provisions of the public procurement contract, can be found in the model contract, constituting Appendix No. 1 of the OPW.

6. The period of the guarantee and warranty granted by the Contractor for all elements of the subject of the contract is 36 months.

7. Deadline for the implementation of the subject of the contract: from the moment of signing the contract up to 21 months.

8. Details regarding the date and conditions of the subject of the contract are included in the model contract, constituting Annex 1 to the OPW.

9. The Ordering Party has the right of option consisting in increasing the number of ordered Equipment, under the conditions specified in the model Agreement (Annex 1 to the OPW), in the circumstances described below.

9.1. The Ordering Party is entitled to exercise the option right within 22 months from the signing of the Agreement.

9.2. The basis for settling the performance of the subject of the contract under the option right shall be the option prices provided by the Contractor in the offer form. Settlements between the Contracting Authority and the Contractor will be conducted in PLN.

10. Evidence and other documents or statements drawn up in a foreign language shall be accompanied by a translation into Polish or English.
