1. The object of the order is a service consisting of a long-term loan of 3,507,820.80 PLN (word: three million five hundred seven thousand eight hundred and twenty 80/100 PLN).

2. Financing funds from the loan are allocated to: redemption of municipal bonds amounting to PLN 1 000 000,00 (word: one million 00/100 PLN), repayment of loans amounting to PLN 1 739 070.00 (word: one million seven hundred thirty-nine thousand seventy-00/100 zlotys) and financing the planned budget deficit of 768 750,80 PLN (word: seven hundred and sixty-eight thousand seven hundred and fifty 80/100 PLN) in accordance with the Resolution No 0007.9.2021 of the Black City Council of 17 February 2021 on the borrowing of long-term loan.

3. Loan Period: from the signing of the loan agreement until December 15, 2030.

4. The credit will be launched in amounts and dates to be determined in the form of a written payment application made before each launch of the tranche electronically with a minimum of one day in advance, and the funds should be transferred on the following day after receipt of the request electronic.

5. The start-up of the credit will be without cash transfer to the bank account of the municipal budget: BS Człuchów o/Czarne 77 9326 0006 0040 0116 2000 0100.

6. The grace period in the repayment of the capital will cover the time from the payday to 14.1.2022.

7. 0% commission for early repayment of the loan.

8. In case of non-implementation of the expenditure planned for 2020, the Ordering Party reserves the possibility of reducing the amount of the loan.

9. Loan servicing costs:

1) the interest rate on the loan will be variable, based on the WIBOR 1M rate, updated monthly, preceding the month of loan repayment and fixed, during the duration of the bank margin agreement, not higher than 0.80%, which will be determined to the second decimal place. The costs associated with the maintenance of the credit account and any charges associated with the servicing of the loan the Contractor is obliged to include the margin in such a way as to scale and present one percentage rate, the amount of which is binding throughout the lending period, therefore the bank by The entire term of the contract will not further charge costs and fees for, among others, preparatory commission, commissions for the preparation of annexes, early repayment commissions, commissions on the unused amount of the loan and the like in the mode of Pzp.

2) commission — calculated as% on the entire amount of the loan, i.e. PLN 3,507 820,80. The commission must contain in itself all the fees that are associated with the launch of the credit — payable by the Contractor to the Contractor's bank account within 15 days of the first initiation of the funds.

10. For the accounting year, 365 days are taken and 366 days in the case of a leap year.

11. The Contracting Authority reserves the right to repay all or part of the credit early without incurring additional costs or fees.

12. Only the costs listed in point 8 are considered valid in the credit agreement.

13. Interest repayment will occur in monthly periods up to the 15th day of each month for the previous month from the date of the loan to 31 December 2030. The last interest instalment will be payable until 31 December 2030. Interest on the loan will only be accrued on the amount of current actual debt and payable per month.

16. The Contracting Authority informs that the Treasurer of the Municipality shall submit a countersignate on the credit agreement, the promissory agreement and the promissory note in blanco.

17. In addition, the Ordering Party informs that it does not provide for the signing of a declaration of surrender of execution with the Treasurer's countersign.

18. The Contracting Authority informs that it does not have arrears to the US and US.

19. The margin proposed in the tender offer will remain unchanged throughout the duration of the loan agreement.
