The subject of the contract is the granting and servicing of a long-term bank loan in the amount of PLN 59,000,000.00 (in words: fifty-nine million zlotys 00/100) to cover the planned budget deficit of the Pruszków County in 2023. The loan will be released in tranches at the Borrower's request. Repayment of capital installments is subject to a grace period until 31.12.2023.

1. The subject of the contract is the granting and servicing of a long-term bank loan in the amount of

PLN 59,000,000.00 (in words: fifty-nine million zlotys 00/100) to cover the planned budget deficit of the Pruszków County in 2023, on the terms set out in this SWZ and Annex A – draft provisions of the agreement, without a separate loan application of the Borrower.

2. Loan period 100 months.

3. The loan will be disbursed in tranches – at the borrower's request.

4. The date of starting the loan (making available to the borrower) – on the next day after signing the contract, provided that the borrower establishes collateral for the loan in the form of a promissory note together with a promissory note

with a bill of exchange declaration.

5. To determine the loan price and prepare the offer, 15/09/2023 should be taken as the starting point of the loan. The time limit for the actual mobilisation of credit shall be set at the date of award of the contract.

6. The final starting point of the loan shall be 29 December 2023.

7. Repayment of capital installments is subject to a grace period until 31.12.2023.

8. The credit will be transferred to the Ordering Party's bank account number: 19 1090 1056 0000 0001 4821 9680 on the basis of a transfer order sent electronically.

9. Interest must be calculated on the amount of credit used and repaid at the end of each month,

taking into account the repayment of principal instalments. Interest for the period from the moment the loan is launched until 30/09/2023 will be payable together with interest for the month of October 2023.

10. The loan will be secured by a blank promissory note together with a promissory note declaration without countersignature by the County Treasurer on the bill of exchange. The treasurer countersigns the agreement and the bill of exchange declaration.

11. The Ordering Party reserves the right to:

• change the date of starting the loan,

• release of credit in tranches,

• disbursement of the loan in a smaller amount than resulting from the concluded contract,

• non-mobilisation of credit,

• early repayment of the loan in whole or in part.
