Description:
Technical assistance and maintenance service and development of the iPFRON+ System

1. The subject of the contract is the provision by the Contractor to the Ordering Party of technical assistance and maintenance services of the iPFRON+ System (hereinafter referred to as "ATiK") and the development of the iPFRON+ System (hereinafter referred to as "UMR" or "Development"), hereinafter jointly referred to as the "Subject of the Contract".

2. As part of the contract, the Contractor shall provide:

2.1. Technical Assistance and Maintenance Services (24 months under a guaranteed order and a maximum of 24 months under an Option);

2.2. Development of the iPFRON+ System (60,000 Man-hours under a guaranteed order and a maximum of 60,000 Man-hours under the Option);

2.3. Instruction for employees of the iPFRON+ System hotline (hereinafter referred to as the "Instruction"). Details of the instruction are included in point 5 of the OPZ (guaranteed order).

3. Details and conditions of the Order Subject shall be included in the OPZ.

4. The terms and conditions for the provision of the Subject of the Order are described in the draft provisions of the contract - Annex No. 2 to the SWZ (hereinafter referred to as PPU).

The subject of the contract is the provision by the Contractor to the Ordering Party of technical assistance and maintenance services of the iPFRON+ System (hereinafter referred to as "ATiK") and the development of the iPFRON+ System (hereinafter referred to as "UMR" or "Development"), hereinafter jointly referred to as the "Subject of the Contract".

2. As part of the contract, the Contractor shall provide:

2.1. Technical Assistance and Maintenance Services (24 months under a guaranteed order and a maximum of 24 months under an Option);

2.2. Development of the iPFRON+ System (60,000 Man-hours under a guaranteed order and a maximum of 60,000 Man-hours under the Option);

2.3. Instruction for employees of the iPFRON+ System hotline (hereinafter referred to as the "Instruction"). Details of the instruction are included in point 5 of the OPZ (guaranteed order).

3. As part of the implementation of the Subject of the Contract, the Contractor also undertakes:

3.1. prepare for the provision of the Subject of the Order;

3.2. provide the Ordering Party with a guarantee and warranty on the terms described in detail in Section 3 of the PPU;

3.3. transfer to the Ordering Party proprietary copyrights and dependent rights to the Products manufactured or delivered during the implementation of the Subject of the Order on the terms and principles described in detail in Article 8 of the PPU;

3.4. provide the Ordering Party with licenses to use the Products, under the conditions and principles described in detail in Section 8 of the PPU.

4 Details and conditions of the Subject of the Order are included in the OPZ.

5. The terms and conditions for the provision of the Subject of the Order are described in the draft provisions of the contract - Annex No. 2 to the SWZ (hereinafter referred to as PPU).

6. The subject of the Order shall be provided for a maximum of 48 months from the date of conclusion of the Agreement, whereby:

6.1. ATiK under the guaranteed order will be executed for a period of 24 months from the date of conclusion of the Agreement, and if the Ordering Party uses the Option – for a maximum of the next 24 months counted from the date of termination of the ATiK performance under the guaranteed order;

6.2. The development will be carried out from the date of conclusion of the Agreement. until the expiry of the deadline referred to in point 6 above or until the maximum gross remuneration specified in paragraph 9(1) of the PPU is exhausted;

6.3. Estimated date of the Instruction – second quarter of 2024 The target date of the Instruction will be determined by the Parties during the implementation of the Agreement.

7. The estimated amount of the contract referred to in Sections II.1.5) and II.2.6) shall comprise:

7.1. estimated value of the guaranteed contract in the amount of PLN 11,344,402.40

7.2. estimated value of the option in the amount of PLN 11,291,402.40

7.3. the estimated value of the contract referred to in Article 214(1)(7) of the Public Procurement Law in the amount of PLN 5,672,201.20 (see section II.2.10) of this announcement.

8. Pursuant to Article 131(2) of the PPL, the Contracting Authority provides, due to the specific nature of the contract, for the Contractor to carry out an on-site inspection of the System and to check the documents necessary to perform the contract (i.e. the System documentation described in point 6.12 of Chapter 6 of the SWZ and the source codes of the System). On-site inspection and verification of documents necessary for the execution of the contract is possible at the headquarters of the Ordering Party in Warsaw at al. Jerozolimskie 96 (Equator II building, floor 12).

9. The dates of the on-site inspection are specified in point 6.10 of Chapter 6 of the SWZ.

10. In order to remove doubts, the Contracting Authority explains that the on-site inspection and verification of the documents necessary for the performance of the contract is, due to the specificity of the subject of the contract, a condition for submitting an offer by the Contractor. Lack of participation in the on-site inspection and verification of the documents necessary for the performance of the contract will result in rejection of the bid pursuant to Article 226(1)(18) of the PPL. A protocol signed by the Contracting Authority and representatives of the Contractor will be drawn up for the on-site inspection and verification of the documents necessary for the performance of the contract.
