The subject of the contract is the supply of electricity for the purposes of the Water and Sewerage Plant “WOD-KAN” sp.z o.o. to the objects of the Ordering Party within the meaning of the Act of 10 April 1997 - Energy Law (i.e. Journal of Laws of 2021, item 716 as amended), hereinafter referred to as, Energy Law', in the planned quantity of approximately 3 914 378 kWh total for 51 electricity intake points, in accordance with Annex 1 to the SWZ.

1.1. The subject of the contract is the supply (sale) of electricity to the objects of the Ordering Party within the meaning of the Act of 10 April 1997 - Energy Law (i.e. Journal of Laws of 2021 item 716 as amended), hereinafter referred to as, Energy Law', in the planned quantity of approximately 3 914 378 kWh total for 51 electricity intake points in accordance with Annex 1 to SWZ. 1.2. Electricity should meet technical parameters in accordance with the provisions of the Energy Law and the implementing regulations of this law and Polish Standards. 1.3. Detailed information on the individual conscription points is provided in the PPE 2022 Annex 1 to the SWZ.

1.4. The estimated amount of energy delivered during the delivery period is 3,914,378 kWh. The estimated electricity demand is only indicative, used to compare tenders and does not constitute an obligation on the part of the Contracting Authority to purchase energy in the quantity given. The amount of electricity collected by the Ordering Party will be determined based on direct readings of the indications of measurement and billing systems of the facilities. These indications will be submitted to the Contractor (Seller of active energy) by the distribution system operator (OSD), PGE Distribution S.A. The Ordering Party indicates that the minimum volume value is 70% of the projected amount of energy indicated above. 1.5. The Contracting Authority declares that the energy consumption forecast indicated above and in Annex 1 to the SWZ represents only an approximate value which is subject to change during the implementation of the Agreement; the actual quantity of electricity collected by the Ordering Party shall be determined and accounted for on the basis of indications of measurement and billing systems of objects. Less or greater than the forecast energy consumption indicated in Annex 1 to the SWZ will only depend on actual needs. Contractors shall not have any financial claims in relation to the Contracting Authority (e.g. damages) if, during the period of the Agreement, the Contracting Authority purchases less or more electricity from the Contractor than the projected amount of energy indicated in the description of the subject of the contract and in Annex 1 to the SWZ, in particular caused by an increase or decrease in PPE quantities (hereinafter: power consumption points), change of tariff group, change in the solicited capacity or technical parameters of PPE, actual energy consumption within the PPE 1.6. Settlements will take place on the basis of actual electricity consumption during the accounting period. 1.7. The Ordering Party informs that: a. is bound by an agreement for the sale of electricity, with the date of force up to 30.06.2022; b. the process of changing the seller takes place once again; c.holds a signed contract for the sale of energy with Elektra S.A. Skierniewicka 10A, 01-230 Warsaw; d. has signed Indefinite distribution agreements with the local distribution system operator (DSO), PGE Distribution S.A. Branch Łódź. 1.8. The obligation of the selected Contractor will be to report to the indicated Operator of the Distribution System, i.e. PGE Distribution S.A. information about the contract of sale of electricity with the Ordering Party, submit statements of will and determine on behalf of the Contracting Authority all necessary data 1.9.In connection with the conclusion of a contract for the sale of electricity. 1.9.In connection with the proceedings, a contract of sale will be concluded with the Contractor - seller of active energy, to the objects of the Contracting Authority. 1.10. The Contracting Authority shall give the Contractor the appropriate power of attorney to notify, on behalf of the Contracting Authority, the contract for the sale of electricity to the DSO and to carry out the operations necessary to carry out the process of changing the seller with the DSO. 1.11. It is required to have or sign by the contractor of the General Distribution Agreement with the competent Distribution System Operator to which the objects of the Ordering Party are attached.
