The subject of the contract are long-term loan granting services in accordance with applicable law (Act of 29 August 1997 Banking Law (i.e. Journal of Laws of 2021, item 2439, as amended).

1. The subject of the contract is the service of granting a long-term loan in the amount of PLN 7,400,000.00 in words: seven million four hundred thousand zlotys) to cover the budget deficit of the Lubiszyn Commune (hereinafter referred to as the "Loan") in the period 2022-2037

The loan will be launched in three tranches, i.e.:

I tranche – until 15 November 2022 up to PLN 2,000,000.00

II tranche – until 29 December 2022 up to PLN 2,400,000.00

III tranche – until 30 June 2023 up to PLN 3,000,000.00

The Ordering Party reserves the right to launch the second tranche in whole or in part until 30 June 2023.

3. The Ordering Party reserves the right to extend the deadlines for payment of individual tranches and change their amount.

4. The amount of the loan tranches and the deadline for placing the funds at the disposal of the Ordering Party shall be determined by the Ordering Party submitting a demand for funds within 2 working days before the date of placing the funds at the Disposal of the Ordering Party.

5. Instructions to start tranches may be submitted on the model specified by the bank.

6. Instructions to start tranches will be sent in electronic form (e-mail) with the deadline for starting the tranche. However, the original will be immediately delivered to the bank. The delivery of the original cannot determine the mobilisation of the loan tranche.

7. The Ordering Party provides for the possibility of early repayment of the loan and in this respect will not be charged by the Contractor with any additional fees.

8. The Ordering Party reserves the right to withdraw from starting the loan or using its part without giving a reason and without incurring additional fees.

9. The loan will be granted in Polish zlotys (PLN). All settlements between the Ordering Party and the Contractor will also take place in PLN.
