The subject of this order is the delivery of electricity to the facilities listed in Annex 1 to the ToR - description of the subject of the order The electricity demand in the period from November 1, 2019 to October 31, 2021 is: 17 657 444 kWh (basic order), 22,954 679 kWh (order including the 30% option right from the basic order).

1. The object of this contract is the delivery of electricity to the facilities listed in Annex 1 to the ToR - description of the subject of the order The demand for electricity in the period from November 1, 2019 to October 31, 2021 is: 17 657 444 kWh (basic order), 22 954 679 kWh (order including the 30% option right from the basic order).

2. The detailed scope of the order has been specified in Annex No. 1 to the ToR, in accordance with the provisions of the Act of 10.4.1997 Energy Law. Other conditions related to the contract are set out in the draft electricity sales contract - Annex No. 2 to the ToR.

3. Electricity supply will take place under the conditions specified in the provisions of the Act of 10.4.1997 - Energy Law and in accordance with the executive regulations issued to this law, in particular with the standards for the quality of customer service set out in the Regulation of the Minister of Energy of 6.3.2019. on detailed principles of forming and calculating tariffs and settlements in trading in electricity. The quality parameters of electricity in the distribution part are regulated by the Ordinance of the Minister of Economy of 4.5.2007 on detailed conditions for the operation of the power system.

4. The distribution services will be provided on the basis of a separate agreement concluded by the Ordering Party with the appropriate Distribution System Operator (OSD) - OSD data are included in Appendix No. 2 to the ToR. The reserve seller is Energa Obrót SA.

5. The requirements for the Contractor are described in the draft sales contract constituting Annex 2 to the ToR. Performing activities resulting from the power of attorney, constituting Annex No. 2 to the Agreement on the sale of electricity, hereinafter referred to as the Agreement.

6. The existing contracts for the sale of electricity with existing electricity suppliers for electricity consumption points included in Appendix No. 1 to the ToR shall be concluded for a definite and indefinite period, and a detailed description for each PPE is found in the column entitled "Duration of the contract / period of notice ".

7. Appendix No. 1 to the ToR informally indicated parameters (tariff group, contracted capacity), which may differ from currently in force or may be subject to change during the duration of the electricity contract.

8. In the course of the contract performance, the Contracting Authority reserves the right to reduce or increase the total amount of energy purchased, up to ± 30% of the basic order specified in Appendix No. 1 to the ToR. The occurrence of the circumstances referred to above will result in a corresponding reduction or increase in the remuneration due to the Contractor under this contract. Increasing or reducing the amount of electricity does not constitute grounds for any claims on the part of the Contractor.
