Negotiations GVZ JadeWeserPort 2021-1

The JadeWeserPort in Wilhelmshaven is the only tide-independent container deepwater port on the German coast. The trimodal industrial area, which is developed and operated by Container Terminal Wilhelmshaven JadeWeserport-Marketing GmbH & Co. KG (hereinafter: JWP-M) as a freight transport centre (“GVZ JadeWeserPort”), has been built directly on the flushed up Hafengroden. These areas are connected to the European transport network by the railway tracks of the port railway, including an assembly, a combined transport terminal (CT) and the BAB 29, which ended directly on the GVZ JadeWeserPort.

The commercial space of the GVZ JadeWeserPort with a size of approx. 79 ha, which has not yet been awarded by the conclusion of the contract, is intended to be used by this negotiation procedure for commercial/industrial settlements by the conclusion of succession contracts or by the conclusion of leases (hereinafter also collectively: land contracts). will be awarded.

The aim is to establish companies engaged in the handling of incoming and outgoing transhipment and/or their storage and/or transport and/or related services.

The following minimum requirements are set for a settlement project on the areas in question here:

(a) the relevant settlement area shall be processed, cleared and/or stored handling goods handled via the jadeweserPort quaye; and/or

(b) services will be provided on the respective settlement area to support the port-related settlements in the area of the GVZ JadeWeserPort and/or the terminal operation of JadeWeserPort (collectively also “port-related settlement”).

JWP-M will assess the fulfilment of these minimum settlement-related requirements upon receipt of the requests to participate.

It should be noted that a large part of the commercial space not yet contracted by the conclusion of the contract is currently reserved on the basis of applications (hereinafter: reserved areas). The purpose of this procedure is to allow interested companies to enter directly into negotiations on the areas not yet reserved (hereinafter referred to as 'the available areas) or to be placed on a waiting list for the reserved areas. Where the ongoing negotiations on the respective reserved area cannot be concluded with the conclusion of a contract, negotiations on the area may be initiated.

In summary, the procedure will proceed as follows:

1st Participation Competition:

JWP-M will first conduct a participation competition, in the course of which the suitability of the interested bidders will be checked.

2. Indicative offer:

Where space is not sufficiently available to enter into negotiations with each of the appropriate bidders whose settlement projects meet the minimum requirements laid down, the appropriate tenderers whose settlement projects could be implemented on the available land shall be responsible for the submission of indicative tenders. 3. Negotiations

The evaluation of the indicative bids shall select the tenderer with whom priority will enter into negotiations (best bidder) and determine the available area to be reserved for that bidder. The remaining available land shall be negotiated with the remaining tenderers in accordance with the rank of the remaining bidders as determined by the evaluation. If more than one available area is still available, JWP-M will submit an offer to the same number of bidders for negotiation of one area, provided compatibility with the respective settlement project. The tenderers to be requested to negotiate shall be determined by the valuation/according to the ranking order.

4. Reserved spaces:

(a) Where none of the available areas should be compatible with a tenderer's settlement project, the tenderer concerned shall not be invited to submit an indicative tender.

However, in the event that an area already reserved as a result of negotiations could be eligible for specific settlement, JWP-M will offer the bidder to be listed on the landfill waiting list for the reserved area.

(b) Where negotiations on available land cannot be started immediately due to the rank of the respective tenderer as determined when the indicative tenders are valued or where the settlement project should not be compatible with the remaining remaining areas, JWP-M will also offer the tenderers to which: property specific waiting list to be set for a reserved area that is generally compatible with the settlement project.
