1. The subject of the order is:

a) supply of electricity (Lot No. 1 of the order),

b) comprehensive supply of electricity for prosumer points / photovoltaics (Part No. 2 of the order) in accordance with applicable regulations, quality standards of the Act of 10 April 1997. Energy Law (Journal of Laws of 2022, item 1385, póź.zm) together with implementing acts, in accordance with the descriptions presented in the "PPE List for a split agreement (for lot no. 1) - constituting Annex 1 to the SWZ and "PPE List for a comprehensive agreement (for part no. 2) - constituting Annex 2 to the SWZ.

A detailed description of the item of the order is specified in the SWZ.

Part No. 1 - supply of electricity:

1.1.1. The subject of the contract is the supply of electricity as described in the "PPE List for a separate contract" (lot No 1)".

1.1.2. Estimated volume in MWh 181 853,910 number of consumption points 5 593 - detailed The list of PPE points is attached as Annex 1 to the SWZ. The given volume of electricity is an estimate based on previous consumption. The settlement will be based on the actual amount of electricity consumed in individual PPEs, which were indicated in Annex II to the Agreement and unit prices presented in the offer.

1.1.3. Distribution services will be provided on the basis of separate agreements concluded between the Ordering Party (electricity consumers – hereinafter referred to as the Customers) and the distribution system operator (DSO).

1.1.4. The Contractor, based on the Power of Attorney granted, will be obliged to submit on its own behalf and on behalf of the Contracting Entities (Recipients) contracts for the sale of electricity to the relevant DSO in accordance with applicable regulations. The Contractor shall report the collection points only on the basis of the data provided (after the conclusion of the electricity sale contract) by the Ordering Party to change the seller.

1.1.5. The condition for starting electricity supplies within the indicated time limit (for individual consumption points) is a positive completion of the procedure of changing the seller, possession by the customer of a valid contract for the provision of electricity distribution services and effective termination/expiry of existing contracts for the sale of electricity / comprehensive agreements.

1.1.6. In the case of collection points for which the change of seller will take place for the first time (and comprehensive agreements are currently in force), the Contractor will be obliged to submit on behalf of the Ordering Party a statement required by the DSO resulting in the conclusion of a distribution agreement for an indefinite period or conclusion of a distribution agreement, for which the Contractor will be granted a Power of Attorney.

1.1.7. In the case of collection points where sales and distribution contracts have already been separated (another change of seller), the Ordering Party (Recipients) have distribution agreements concluded for an indefinite period.

1.1.8. If during the term of the agreement there are changes in the scope of the Customer requiring the conclusion of a new distribution agreement, the Contractor will be obliged to submit a statement of consent to conclude distribution service agreements or conclude a distribution agreement on behalf of the recipient, for which the Ordering Party will grant an appropriate Power of Attorney.

1.1.9. The Contractor shall submit a notification of the contract (to the DSO) solely on the basis of the data provided by the Ordering Party. The consequences of submitting data other than those described in the first sentence shall be borne by the Contractor.

1.1.10. With respect to all PPEs, the Ordering Party (Customers) have the status of a customer, therefore they have the right to purchase energy from the seller of their choice.

1.1.11. The obligation to terminate the contracts shall lie with the Ordering Party/Recipient.

Part 2 – Comprehensive supply of electricity for prosumer points/photovoltaics

1.2.1. The subject of the contract is a comprehensive supply of electricity for prosumer points, in accordance with applicable regulations, quality standards of the Act of 10 April 1997. Energy Law (Journal of Laws of 2022, item 833, póź.zm) together with executive acts, for subjective electricity consumption points indicated in Annex 2 to the SWZ.

1.2.2. Estimated volume in MWh: 11 968,751; number of collection points 311 - detailed The list of PPE points is attached as Annex 2 to the SWZ. The given volume of electricity is an estimate based on previous consumption. The Ordering Party reserves the right to reduce or increase the total volume of electricity in relation to the above-mentioned quantity.
