Description:
Purchase of electricity for the facilities of the Contracting Parties participating in the purchasing group of the Bielsko District

The subject of the contract is the purchase of electricity by the Ordering Parties and their organizational units with a total estimated volume of 24 056.533 MWh (+ 10%) in the delivery period.

1.The Contractor shall perform all actions and arrangements with the DSOs necessary to carry out the procedure of changing the seller and effectively start selling electricity, including in particular: termination of existing comprehensive agreements, notification of new electricity sales agreements to the DSO. These activities will be performed by the Contractor on the basis of relevant powers of attorney granted together with the conclusion of electricity sales contracts.

2.The sale of electricity will take place under the conditions set out in the Energy Law of 10 April 1997 (consolidated text: Journal of Laws of 2022, item 1385, as amended) and on the basis of executive regulations to this Act, in particular the Regulation of the Minister of Climate and Environment of 22 March 2023 on the detailed conditions for the operation of the power system (Journal of Laws of 2023). item 819), Regulation of the Council of Ministers of 23 July 2007 on the detailed rules and procedure for introducing restrictions on the sale of solid fuels and in the supply and consumption of electricity or heat (Journal of Laws of 2021, item 2209, as amended), Regulation of the Minister of Climate and Environment of 6 December 2022 on the method of shaping and calculating tariffs and settlements in electricity trading (Journal of Laws of 2022, item 2505, as amended), the rules set out in the concessions, in accordance with the provisions of the terms of the contract as well as in accordance with the Contractor's offer and in accordance with the provisions of the Civil Code.

3.The provisions of the Act of 27 October 2022 on emergency measures aimed at limiting electricity prices and supporting certain customers in 2023 (Journal of Laws of 2022, item 2243, as amended) shall apply. The contracting authority is an entity authorized pursuant to Article 2(2)(b) of the aforementioned Act to apply energy prices specified in the Act to it. Therefore, if the Contractor offers energy prices in force in 2023 higher than those provided for in the above-mentioned Act, the offer will be rejected as inconsistent with the SWZ.

4.Za connector no. 2 to SWZ (Excel sheet) also provides aggregated data on energy quantities for individual consumption points, on energy quantities in individual distribution tariff groups.

5.Data on the amount of electricity purchased are estimates, they are calculated on the basis of previous electricity consumptions. The forecast of electricity consumption indicated in the SWZ is only an approximate value, which may be increased or decreased during the performance of the contract. Regardless of the amount of consumption, the Contractor is obliged in each case to use the unit prices of energy offered in the tender (subject to paragraph 6). The Contractor shall make financial settlements on the basis of the actual electricity consumption shown by metering and settlement devices and unit prices of energy submitted in the bid or from the Act and may not pursue any additional financial claims if, during the term of the contract, the Contracting Parties participating in the proceedings purchase from the Contractor a smaller amount of electricity than forecasted, taking into account the indicated tolerance.

6.In this tender procedure, all energy consumption points (PPE) have been divided into 2 groups, for which the Ordering Party expects to differentiate the unit prices of electricity submitted in the offer. The expected variation is due to the different energy consumption profile in these groups.

8.Each new PPE generated during the term of the contract must be guaranteed a unit price of energy in accordance with the offer of the Contractor selected in this tender procedure. The sale of electricity to the new PPE not included in the annex to the agreement will be made on the basis of an amendment to the annex for a given contract, without the need to renegotiate the terms of the Agreement.
