1.1. The subject of this contract is the supply of electricity to the facilities listed in Annex 1A, 1B, 1C to the ToR - description of the subject of the contract divided into three parts of the contract. The demand for electricity in the period from 01/10/2019 to 30/06/2021 for individual lots for the basic contract is:

1.1.1. 1st part of the order - order for 2019: 1 109 170 kWh (basic order) with the 30% option right is 1 441 921 kWh - in accordance with Annex 1A to the ToR - description of the subject of the order,

1.1.2. 2nd part of the order - street lighting: 7 961 267 kWh (basic order) with the 30% option right is 10 349 649 kWh - in accordance with Annex No. 1B to the Terms of Reference - description of the subject of the order,

1.1.3. III part of the contract - other facilities: 10 492 199 kWh (basic order) with the 30% option right is 13 639 859 kWh - in accordance with Annex 1C to the ToR - description of the subject of the contract.

1.1. The subject of this contract is the supply of electricity to the facilities listed in Annex 1A:

1.1.1. 1st part of the order - order for 2019: 1 109 170 kWh (basic order) with the 30% option right is 1 441 921 kWh - in accordance with Annex 1A to the ToR - description of the subject of the order,

1.2. The detailed scope of the order is specified in Annex 1A to the ToR, in accordance with the provisions of the Energy Law of 10 April 1997. Other conditions regarding the performance of the contract are set out in the draft electricity sales contract - Annex 2A to the ToR.

1.3. The supply of electricity will take place under the conditions set out in the Act of 10 April 1997 - Energy Law and in accordance with the implementing regulations issued to that Act, in particular with the quality standards of customer service specified in the Regulation of the Minister of Energy of 29 December 2017 in on detailed rules for shaping and calculating tariffs and billing in electricity trading.

1.4. Distribution services will be provided on the basis of a separate agreement concluded by the Employer with the relevant Distribution System Operator (called DSO) - DSO data are included in Annex 1A to the ToR.

1.5. The requirements set for the Contractor are described in the draft sales contract constituting Annex 1A to the ToR. Performing activities resulting from the power of attorney constituting Annex 2 to the Electricity Sale Agreement, hereinafter referred to as the Agreement. The Awarding Entity shall grant the power of attorney selected in the proceedings to:

1.5.1. Notifications to the relevant Distribution System Operator about the conclusion of the contract for the sale of electricity and the planned date of commencing the sale of electricity.

1.5.2. Submission of a notice of termination of the comprehensive contract (sale of electricity and provision of distribution services), sales contract, distribution contract or declaration of termination of the comprehensive contract (sale of electricity and provision of distribution services), sale contract, distribution contract in accordance with a mutual agreement of the parties for electricity consumption points included in Annex No. 1 to the Agreement (Annex No. 1A to the Terms of Reference), in accordance with the schedule for terminating the agreements contained in Annex No. 1 to the Agreement (Annex No. 1A to the Terms of Reference).

1.5.3. Representing the Employer before the relevant Distribution System Operator during the process of concluding Distribution Agreements, including signing and submitting on behalf of the Employer an application to conclude a Distribution Agreement.

1.5.4. Representing the Ordering Party in contacts with the current Electricity Seller or Distribution System Operator in matters related to the process of changing the Seller applies to the collection points listed in Annex 1 to the contract (Annex 1A to the ToR).

1.6. Current electricity sale agreements / comprehensive agreements with existing electricity sellers for electricity consumption points included in Annex 1A to the ToR are concluded for a definite and indefinite period, and a detailed description for each of the PPE points is in the column "Current contract period" .

1.7. In Annex 1A to the ToR, parameters (tariff group, contracted capacity) are provided for information, which may differ from those currently in force or may be subject to change during the term of the electricity contract.

The Awarding Entity shall grant the power of attorney selected in the proceedings to:

1.5.1. Notifications to the relevant Distribution System Operator about the conclusion of the contract for the sale of electricity and the planned date of commencing the sale of electricity.

1.5.2. Submission of a notice of termination of the comprehensive contract (sale of electricity and provision of distribution services), sales contract, distribution contract or declaration of termination of the comprehensive contract (sale of electricity and provision of distribution services), sale contract, distribution contract in accordance with a mutual agreement of the parties for electricity consumption points included in Annex 1 to the contract (Annex 1B to the ToR), in accordance with the schedule for terminating the contracts contained in Annex 1 to the contract (Annex 1B to the ToR).

1.5.3. Representing the Employer before the relevant Distribution System Operator during the process of concluding Distribution Agreements, including signing and submitting on behalf of the Employer an application to conclude a Distribution Agreement.

1.5.4. Representing the Employer in contacts with the current Electricity Seller or Distribution System Operator in matters related to the process of changing the Seller applies to the collection points listed in Annex 1 to the contract (Annex 1B to the ToR).

1.6. Current electricity sale agreements / comprehensive agreements with current sellers of electricity for electricity consumption points included in Annex 1B to the ToR are concluded for a definite and indefinite period, and a detailed description for each of the PPE points is in the column "Current contract period" .

1.7. In Annex 1B to the ToR, parameters (tariff group, contracted capacity) are provided for information, which may differ from those currently in force or may be subject to change during the term of the electricity contract.
