1. The subject of the contract is the granting of a long-term loan in the amount of PLN 15,000,000. for co-financing investment tasks

1. The subject of the contract is the granting of a long-term loan in the amount of PLN 15,000,000. intended for co-financing investment tasks.
2. Planned loan term: 9 years; repayment of principal - quarterly starting from the first quarter of 2025.

5. Base rate to determine the interest rate:
- to the offer: according to the WIBOR 3M rate as at 31 July 2023
- to the contract: the interest rate on the loan on the day of conclusion of the contract is the sum of the WIBOR 3M rate from the last day of the month preceding the contract in which the contract will be concluded and the Contractor's margin - applies until the end of the calendar month in which the contract will be concluded.
When calculating interest for each subsequent interest period, the contractor shall apply the WIBOR 3M rate from the last day of the month preceding the financial month increased by the contractor's margin. i.e. interest from November 1 – WIBOR 3M – October 31. The interest rate changes every first business day of the following month.
6. Loan principal installments – payable quarterly.
Repayment of quarterly loan installments – payable by the 20th day of the month ending the calendar quarter starting from the first quarter of 2025
Number of loan installments – in accordance with the schedule attached to the SWZ.

8. reserves the right to early repayment of the loan without additional commission (costs),
9. the loan repayment will be secured by a blank promissory note,
10. Interest on the loan will be calculated on a monthly basis and payable on a monthly basis until the 20th day of each month for the previous month starting from December 2023.
11. The bank's commission and all fees related to granting the loan should be included in the Bank's margin added to the WIBOR 3M rate.
12. The subject matter of the contract is defined in the Common Procurement Vocabulary by the symbols: Code CPV 66113000-5.
13. The contracting authority shall require the contractor to indicate the parts of the contract which it intends to entrust to subcontractors and the contractor to specify the subcontractors' companies. For this purpose, you must fill in the appropriate point of the offer form, constituting Annex 1 to the Terms of Reference. If the Contractor does not intend to perform the contract with the participation of subcontractors, enter in the form "not applicable" or other similar wording. If the Contractor leaves this point unfilled (empty field), the Contracting Authority shall consider that the contract will be performed with its own resources, i.e. without the participation of subcontractors.
14. Pursuant to Article 95(1) of the PPL, the contracting authority requires the contractor or subcontractor, on the basis of an employment relationship, to employ persons performing activities in the field of performance of the contract, the performance of which consists in performing work in the manner specified in Article 22(1) of the Act of 26 June 1974 – Labour Code (Journal of Laws of 2019, items 1040, 1043 and 1495).
14.1. Type of activities related to the performance of the contract, which are subject to employment requirements on the basis of an employment relationship by the contractor or subcontractor of persons performing activities during the performance of the contract: activities described in the SWZ.
The contracting authority requires that the persons performing the subject of the contract, who will perform activities actually related to the subject of the contract described in the tender specifications, are employed under an employment contract.
15. The price of the offer should include all costs related to the granting of the loan. The quality standards relating to all significant features of the subject of the contract are defined by applicable banking law.
