The subject of the contract is the supply (sale) of electricity to the facilities of the Ordering Party within the meaning of the Act of 10 April 1997 - Energy Law (i.e. Journal of Laws of 2022, item 1385, as amended), hereinafter referred to as the "Energy Law", in the planned amount of approximately 5 919 284 kWh in total for 51 electricity consumption points, in accordance with Annex 1 to the SWZ.

The subject of the contract is the supply (sale) of electricity to the facilities of the Ordering Party within the meaning of the Act of 10 April 1997 - Energy Law (i.e. Journal of Laws of 2022, item 1385, as amended), hereinafter referred to as the "Energy Law", in the planned amount of approximately 5 919 284 kWh in total for 51 electricity consumption points, in accordance with Annex 1 to the SWZ.

2. Electricity should meet technical parameters in accordance with the provisions of the Energy Law and executive regulations to this Act and Polish Standards.

3. Detailed information on individual collection points is presented in the PPE Statement 2023 constituting Annex 1 to the SWZ.

4. The estimated amount of energy supplied during the delivery period is 5 919 284 kWh. The estimated demand for electricity is only indicative, used to compare offers and in no case constitutes an obligation on the part of the Ordering Party to purchase energy in the given quantity. The amount of electricity consumed by the Ordering Party will be determined on the basis of direct readings of the indications of the measuring and settlement systems of the facilities. These indications will be provided to the Contractor (Active Energy Seller) by the distribution system operator (DSO), PGE Dystrybucja S.A. The Ordering Party indicates that the minimum volume value is 60% of the expected amount of energy indicated above.

5. The Ordering Party declares that the forecast of energy consumption indicated above and in Annex 1 to SWZ is only an approximate value, which may change during the performance of the Agreement; the actual amount of electricity consumed by the Ordering Party will be determined and settled on the basis of indications of metering and settlement systems of facilities. Lower or higher than the forecast energy consumption indicated in Annex 1 to the SWZ will depend only on the actual needs. The Contractor shall not be entitled to any financial claims against the Contracting entity (e.g. damages) if, during the term of the Agreement, the Contracting Authority purchases from the Contractor a smaller or larger amount of electricity than the forecasted amount of energy indicated in the description of the subject of the contract and in Annex 1 to the SWZ, in particular caused by an increase or decrease in the amount of PPE (hereinafter: energy consumption points), change of tariff group, change of the ordered power or technical parameters of the PPE, actual energy consumption within individual PPEs.

6. Settlements will be based on the actual consumption of electricity in a given settlement period.

7. The Ordering Party informs that:

a. is bound by a contract for the sale of electricity, with a valid date until 30.06.2023; b. the process of changing the seller takes place once again; c. has signed a contract for the sale of energy with Green S. A. Narutowicza 27 lok. 2, 02-672 Warsaw; d. has signed distribution agreements for an indefinite period with the local distribution system operator (DSO), PGE Dystrybucja S.A. Łódź Branch.

8. The selected Contractor will be obliged to notify the indicated Distribution System Operator, i.e. PGE Dystrybucja S.A., of information on the electricity sale agreement concluded with the Ordering Party, submission of declarations of will and determination on behalf of the Ordering Party of all necessary data related to the conclusion of the contract for the sale of electricity.

9. In connection with the conducted proceedings, a sales contract will be concluded with the Contractor selected through a tender - a seller of active energy, to the facilities of the Contracting Entity.

10. The Ordering Party shall grant the Contractor an appropriate power of attorney to submit on behalf of the Ordering Party the concluded contract for the sale of electricity to the DSO and to perform the activities necessary to carry out the process of changing the seller at the DSO.

11.The contractor is required to have or sign a General Distribution Agreement with the relevant Distribution System Operator to which the Ordering Party's facilities are connected.
