The Contacting Authority sought to secure a joint venture partner for the provision of pathology services and has entered into a number of contracts relating to and with that joint venture partner, which can be summarised as:

Part 1) contracts for the formation of a formation of a joint venture vehicle (and certain subsidiary undertakings), between and with the joint venture partner, University College London Hospitals NHS Foundation Trust (‘UCLH’) and the Royal Free London NHS Foundation Trust (‘Royal Free’);

Part 2) contracts between each of UCLH and Royal Free with the joint venture vehicle (and certain subsidiary undertakings) relating to the provision of certain pathology services (to UCLH and Royal Free) and associated support services.

Due to the high level of interdependency between the relevant contracts the 2 Trusts have awarded all parts/contracts to the one joint venture partner/joint venture vehicle
