1. The subject of the contract is a banking service concerning the City of Łomża taking out a loan in the amount of PLN 29,000,000.00 to cover the planned budget deficit of the City of Łomża in 2023 and repayment of liabilities due to previously taken loans. The credit granting service is a publicly available service with established quality standards, guarded by the Polish Financial Supervision Authority, which supervises the banking sector.

2. Procurement mode: unlimited tender pursuant to Article 132 of the Pzp Act.

3. The Contracting Authority provides for the application of the so-called reverse procedure referred to in Article 139 (1) of the Pzp Act, i.e. the Contracting Authority shall first examine and evaluate the tenders and then make the subject qualification of the Contractor whose tender has been highest assessed, in the absence of grounds for exclusion and fulfilment of the conditions for participation in the proceedings.

4. The Contractor is obliged to pay a deposit in the amount of PLN 29,000.00 (twenty-nine thousand 00/100 zlotys).

2. A detailed description of the conditions for granting the loan is included in Chapter IV of the Terms of Contract and in Annex 1a to the SWZ (Calculation of the total cost of servicing the loan) and Annex 2 to the SWZ (List of installment repayment dates).

3. The deadline for completing the contract from the date of signing the contract until 31.12.2037, including: 1) launching the loan by 31.12.2023; 2) repayment of the loan with interest until 31.12.2037. Note: the loan will be released after signing the public procurement contract and on the terms set out in this SWZ together with attachments. The credit will be used in any amounts, dates and tranches based on the payment instruction of the Ordering Party. The tranches will depend on the final payment schedules for the investment.

4. The Purchaser does not allow the submission of partial offers.

5. The contracting authority does not provide for the award of contracts referred to in Article 214(1)(7) of the PPL.

6. Contractors shall be excluded from the procurement procedure in relation to which any of the circumstances referred to in Article 108(1) of the PPL Act or Article 109(1)(1)-(10) of the PPL Act applies.

7. Contractors who are not subject to exclusion pursuant to Article 7(1) of the Act of 13 April 2022 on special solutions for counteracting support for aggression against Ukraine and serving to protect national security (Journal of Laws of 2023, item 129, as amended) may apply for the award of the contract.

8. The Contracting Authority shall apply the provisions of Article 5k(1) of Council Regulation (EU) No 833/2014 of 31 July 2014 concerning restrictive measures in connection with Russia's actions destabilising the situation in Ukraine (Journal of Laws of the European Union, L. of 2014, No. 229, p. 1, as amended), taking into account Article 5k(2), (3) and (4) of the aforementioned Regulation.

9. Pursuant to Article 126(1) of the PPL, before selecting the most advantageous tender, the contracting authority shall call upon the contractor whose bid was rated the highest to submit, within a specified period, not shorter than 10 days, valid as at the date of submission, the following subjective means of evidence in order to confirm the absence of grounds for exclusion of the contractor from participation in the public procurement procedure:

a) Statements of the contractor, within the scope of Article 108(1)(5) of the PPL, on the lack of belonging to the same capital group, within the meaning of the Act of 16 February 2007 on competition and consumer protection (Journal of Laws of 2021, item 275, as amended), with another contractor who submitted a separate bid, or a statement on belonging to the same capital group together with documents or information confirming the preparation of the bid independently of another contractor belonging to the of the same capital group;

b) Extract or information from the National Court Register or from the Central Register and Information on Economic Activity;

c) Contractor's statement on the validity of the information contained in the statement referred to in Article 125(1) of the PPL;

d) Information from the National Criminal Register;

e) Certificates of the competent head of the tax office;

f) Certificate or other document of the competent local organizational unit of the Social Insurance Institution or the appropriate regional branch or the appropriate field branch of the Agricultural Social Insurance Fund.
