The subject of the procedure is the provision and service of a long-term loan up to 6 178 800,00 PLN to finance the planned budget deficit of the Municipality of Włocławek and the repayment of previously incurred obligations for loans and loans, including to finance the planned deficit budgetary in the amount of PLN 4,900 000,00 and for repayment of previously incurred loans and loans amount of PLN 1 278 800,00. 2) Loan period: from the date of signing the credit agreement to 30.09.2038; hereinafter SWZ Chapter II subchapters 1,2 ,3,4,5.

1) The amount of the loan: up to the amount of PLN 6 178 800,00 (word: six million hundred and seventy-eight thousand eight hundred), including to finance the planned budget deficit of PLN 4,900 000.00 and to repay previously incurred liabilities for loans and loans the amount of 1,278 800,00 zł;

2) Loan period: from the date of signing the loan agreement to 30.09.2038;

3) The Contractor shall put the credit funds at the disposal of the Ordering Party:

- I tranche - 3 working days from the date of conclusion of the contract, and the remaining tranches depending on the needs of the borrower on the basis of written requirements submitted by the Contracting Authority for the next tranche, within 3 days prior to the launch, without submitting separate credit applications;

4) the launch of the loan will be made cashless by transfer to the welfare of the bank account

Contracting Authority, i.e. Municipality of Włocławek number:69 9550 0003 2001 0070 0711 0004 in Kujawsko-Dobrzyń Cooperative Bank in Włocławek.

5) Credit collateral:

(a) not required,

(b) if such is established, only in blanco promissory note shall be allowed together

with the promissory declaration, the Treasurer's countersignate will be filed only on the promissory declaration.

6. grace period in loan repayment until September 29, 2026

1.4. The Contracting Authority does not provide for a declaration of execution in the mode of banking regulations.

1.5. For the purposes of the credit agreement, when calculating interest, it is assumed that the year is 365/366 days.

1.6. The commission for considering the loan application is the cost of the Bank.

1.7. The Bank shall accrue interest on an annual basis for the period from the date of inception of the debt granted to the Credit up to and including the date prior to its repayment. Interest will only be charged on the amount of credit used.

1.8. Interest repayment will occur non-cash during monthly periods. Interest will be charged for the period from the first day of the month to the last day of the month, and will be payable up to the 10th day of the month for the previous month, whether the last interest instalment will be payable on the last credit instalment, i.e. up to 30.09.2038.

1.9. The first interest payment should take place by the 30th day of the month in which the first partial amount of the loan was launched, according to the interest charge from the date of launch to the last day of the month in which the first instalment of the loan was launched.

The Contracting Authority shall require that the contract be executed within 3 days from the date of conclusion of the credit agreement Required period of execution of the contract: credit for the period 2021-2038, i.e. at the earliest from the date of signing the contract until 30 September 2038.

1) the commissioning of tranches of credit is foreseen within the period of the earliest 3 days after the signing of the contract by 31 December 2021, i.e. where necessary arising from the fulfillment of the tasks set out in the budget of the municipality.

2) The following schedule for loan repayments by September 30 of each year is set in the following installments beginning in September 2026:

2) IX/2027 - 400 000.00 zł;

3) IX/2028 - 400 000.00 zł;

4) IX/2029 - 400 000.00 zł;

5) IX/2030 - 400 000.00 zł;

6) IX/2031 - 400 000.00 zł;

7) IX/2032 - 400 000.00 zł;

8) IX/2033 - 400 000.00 zł;

9) IX/2034 - 400 000.00 zł;

10) IX/2035 - 600 000.00 zł;

11) IX/2036 - 550 000.00 zł;

12) IX/2037 — 700 000.00 zł

13) IX/2038 — £728,800.00

3) interest repayment:

monthly to the 10th day of the month for the previous month.
