The subject of the contract is the supply under operating lease of 6 specialized vehicles for winter road maintenance with the option of purchase. The subject of the contract has been divided into two parts.

PART I

1.1. The subject of the contract is the supply under operating lease of 2 pieces of specialized vehicles for winter road maintenance with a 4x4 drive of the plough type with the option of purchase.

PART II

1.1 The subject of the contract is the supply under operating lease of 4 pieces of specialized vehicles for winter road maintenance with 4x2 drive, plough type with the option of purchase, including 3 vehicles must be equipped with a hook crane.

The subject of the contract is described in more detail in the SWZ and Annexes 7.1, 7.2. 7.3.

PART I

1.1. The subject of the contract is the supply under operating lease of 2 pieces of specialized vehicles for winter road maintenance with a 4x4 drive of the plough type with the option of purchase.

1.2. The delivered vehicles must comply with the parameters specified in Annex 7.1 to the SWZ.

1.3. Leasing requirements for the above-mentioned vehicles: The Contracting Authority in Annex 7.1 to the SWZ specified the minimum requirements for the ordered vehicles. The supplier (lessor) may offer an assortment with parameters higher than those specified by the Ordering Party. Offering an assortment with lower parameters and/or failure to offer any of the parameters will result in rejection of the offer pursuant to Article 226 paragraph 5. The parameters offered by the Supplier (lessor) must clearly state that the offered vehicles meet all minimum requirements set by the Ordering Party.

1.4. Operating lease (within the meaning of the Corporate Income Tax Act, i.e. (Journal of Laws of 2022, item 2587, as amended).

1.5. During the lease period, the Purchaser shall pay to the Supplier (lessor) 47 equal lease instalments based on a variable interest rate (the variable interest period is 48 months)

1.6. The interest part of the leasing installment will be based on a variable interest rate - WIBOR 1 M. The interest part of the leasing installment is reduced in the event of a decrease in WIBOR 1 M and increased in the event of an increase in WIBOR 1 M in relation to its level adopted for the calculation of the offer price.

1.7. Payment of installments – by the 25th day of each month, starting from the next month from the date of transfer of the subject of the order

1.8. The initial fee of 10% of the net purchase price of the leased object shall be paid by the Ordering Party (lessee) within 14 days from the date of signing the agreement by both parties. The initial fee will be paid by bank transfer from the account of the Ordering Party (lessee). The initial fee cannot be used as collateral for the contract

1.9. The Ordering Party reserves the right to purchase the leased object for an amount of 1% of the net value of the leased object. The exercise by the Ordering Party of the right to purchase option will take place on the basis of relevant documents transferring the ownership of the lease signed by the Ordering Party and the Contractor for the price indicated in the offer, provided that it repays all receivables resulting from the leasing agreement. The buy-back fee will be paid together with the last lease instalment based on the information indicated on the invoice. Only after paying the last installment, the ordering party will receive a purchase invoice for the redemption amount, which is a confirmation of the transfer of ownership of the leased goods to him.

1.10. The contractor (lessor) is obliged to develop and submit in the offer a schedule of leasing installments for the entire duration of the contract, starting from the next month from the date of transfer of the subject of the contract.

1.11. All price indices included in the schedule must be given in Polish zlotys rounded to two decimal places.

1.12. The Ordering Party allows for the possibility of consenting to the assignment of rights under the agreement to the Financing Bank.

1.13. The supplier (lessor) is obliged to attach a model contract to the offer. Failure to submit a model contract will result in rejection of the offer pursuant to Article 226(1)(5) of the PPL. The model contract should primarily take into account the provisions of point XXI SWZ, i.e. the provisions of the public procurement contract relevant to the parties.

1.14. Equipment insurance shall be the responsibility of the Ordering Party.

1.15. The Ordering Party shall bear the costs of tax on means of transport on the basis of a re-invoice.
