The subject of the contract includes:
1. the supply of 2 brand new city buses, low-floor buses (in the meaning of the Polish Standard PN-S-47010: 1999 in its current wording), powered by a diesel engine in the form of an operating lease with the option of buying out for the municipality of the city of Głowno, hereinafter referred to as buses,
2. warranty service for buses,
3. operational leasing service with purchase option.
A detailed description of the subject of the order for buses is Annex 1 to the ToR.
1. The subject of the contract includes:
1.1. delivery of 2 brand new city buses, low-floor buses (in the meaning of the Polish Standard PN-S-47010: 1999 in its current wording), powered by a diesel engine in the form of operating leasing with the option of buying out for the municipality of the city of Głowno, hereinafter referred to as buses,
1.2. bus warranty service,
1.3. operational leasing with purchase option.

2. The minimum warranty conditions required by the customer:
2.1. minimum warranty conditions: individual warranty periods from the date of the transfer of the bus:
2.1.1. for perforation caused by corrosion of the outer shells as well as the frame of the bus body and chassis (minimum in terms of deformations and cracks in elements, welds, etc. resulting from workmanship or structural defects, in particular caused by corrosion) - 10 years,
2.1.2. on the engine and bus drive system - min. 200,000 km, with no operating time limit,
2.1.3. for the whole bus (excluding the reservations in points from 2.1.1 to 2.1.2.) - min. 24 months, no mileage limit,
2.2. Reservations and exclusions regarding individual guarantees:
2.2.1. chassis frame - periodic, obligatory (under pain of losing the warranty) maintenance procedures, consisting in supplementing, renewing or applying new protective layers of external and internal profiles (frames, bus trusses) are carried out (at its own cost and risk), the Contractor or bears the full costs of carrying them out during the warranty period he has proposed, but not less than 10 years; the above does not apply to replenishment of external protective coatings caused by mechanical damage - maintenance chips from stone impacts and chafing,
2.2.2. periodic and obligatory under pain of losing the warranty (and efficient reliable operation), as well as resulting from the provisions and operating instructions, inspections and service of the bus are carried out at his own cost and risk. The Contractor (including covering the costs of necessary materials) during the warranty period for the entire bus, o referred to in point 2.1.3. (or longer if the Contractor offers a warranty period for the entire bus for more than 24 months),
2.2.3. the warranty excludes only: fuses, light bulbs, V-belts, brake pads and brake discs, tires in the scope of normal wear and tear, which are considered to be wear of at least 1 year of operation or 120,000 km mileage,
2.2.4. other conditions of warranty service are governed by the provisions that will be included in the content of the contract, contained in Chapter XVII of the ToR.
3. Requirements for leasing:
3.1. The operational leasing agreement will be concluded for 60 months - the period of repayment of leasing installments,
3.2. Lease installments determined with a fixed interest rate, based on the WIBOR 1M indicator,
3.3. Lease installments: 59 equal lease installments,
3.4. Initial payment of the Employer: no more than 620,000 PLN gross,
3.5. Final payment (redemption): 1% of the net value of the subject of the lease,
3.6. No other additional costs are expected,
3.7. Opportunity to purchase the leased asset with pre-emption rights,
3.8. Leasing currency: PLN,
3.9. The subject of leasing will be insured by the Employer,
3.10. Other lease conditions will be governed by the Lessor's internal regulations and the provisions of the Civil Code.
