The subject of this contract is the supply of electricity to the facilities listed in Annex 1 to SWZ – description of the subject of the contract. The electricity demand in the period from 01.01.2023 to 31.12.2023 is: 6 855 362 kWh (planned order).

2. The detailed scope of the contract is set out in Annex 1 to the SWZ, in accordance with the provisions of the Law of 10 April 1997 Energy Law. The other conditions for the execution of the contract are set out in the proposed provisions of the Electricity Sales Agreement — Annex No 2 to the SWZ.

3. Comprehensive supply of electricity will take place under the conditions set out in the provisions of the Act of 10 April 1997 – Energy Law, the Act of 8 December 2017 on the capacity market and in accordance with the implementing regulations issued to these Acts, in particular with the quality standards of customer service specified in the Regulation of the Minister of Climate and Environment

of 5 January 2022 amending the Regulation on detailed rules for the formation and calculation of tariffs and settlements in electricity trading and the Regulation of the Minister of Climate and Environment of 11 November 2020 amending the Regulation on detailed conditions for the functioning of the power system. The above provisions concern the method of calculation, settlement and quality parameters of the supplied electricity.

4. The reserve seller is: PGE Obrót S.A.

5. The requirements (obligations) imposed on the Contractor are described in the draft provisions of the contract, constituting Appendix No. 2 to the SWZ. The Contracting Authority shall grant the Contractor selected in the proceedings a power of attorney.

6. Annex 1 SWZ informatively identifies current parameters (tariff group/contractual capacity) which may be subject to change during the duration of the electricity contract.

7. In the course of the execution of the contract, the ordering party reserves the right to reduce or increase the total amount of purchased electricity and / or the value of distribution of purchased electricity in the scope of: for an increase to 10%, for a decrease of up to 30% in relation to the quantity (value) of the order specified in Annex 1 to the SWZ (planned order). The occurrence of the circumstance referred to above will result in a decrease or increase in the remuneration due to the contractor under this contract, respectively. The change in the amount of electricity occurs automatically and does not require a statement from the party. Within the framework of this right, the contracting authority may add and subtract PPE and make changes to the parameters of energy distribution, in which case the contracting authority shall submit to the contractor a written declaration of will regarding the exercise of the above right to the extent specified by it. If the contracting authority does not exercise the right to reduce or increase the total amount of electricity purchased and/or the value of distribution of purchased electricity to the extent to increase to 10%, for a reduction of up to 30% in relation to the volume of the contract, the planned contractor shall not be entitled to any claims in this respect.

8. Existing comprehensive/electricity sales agreements with existing electricity sellers for electricity consumption points included in Annex 1 of the SWZ are concluded for a definite period of time, and a detailed description for each of the PPE points can be found in the column called "Contract duration / notice period".

9. The Contracting Authority shall transmit the necessary data and documents to the Contractor to the Contractor, as soon as the contract has been signed.

10. The Contracting Authority shall conclude contracts for the comprehensive supply of electricity together with the distribution service with the contractor selected in the present proceedings in accordance with the information contained in Annex 1 to the SWZ. The contract with the selected Contractor will be signed in writing, by correspondence.
