FRAMEWORK AGREEMENT FOR THE OPERATIONAL LEASING OF COMPANY, SERVICE AND COMMERCIAL VEHICLES

Framework agreement for the operational leasing of status, service and commercial vehicles

Framework agreement with reopening of competition between several successful tenderers, in accordance with Article 3, paragraph 1, 15°, of the LAW and Articles 136 and 138 of the Royal Decree PROCUREMENT.

The purpose of the framework agreement relates to long-term leasing (i.e. operational leasing whose duration may vary from 36 to 84 months), all services included, without option to purchase, of multi-brand, electric, plug-in hybrid, hybrid and thermal vehicles for the benefit of in BW (against payment of a monthly rent).

In addition to the provision of the vehicle, the framework agreement covers all additional services used in an operational leasing (vehicle maintenance, taxes, repairs and replacement vehicle if applicable) throughout the period of availability of the vehicle, with the exception of driving offences, fuel and electricity.

Number of vehicles (assumed quantities): 150.

- Lot 1 : 70

- Lot 2 : 80

Not all the terms governing the framework agreement are laid down in these special specifications.

Recourse to the principle of the framework agreement is justified in the present case by the fact that, first, not all the terms of the agreement appear a priori defined at this stage, and, second, the contracting authority is unable to specify today

a) the vehicles that will actually be selected by the beneficiaries/drivers, in the context of call-ups that will be based on the framework agreement

b) vehicles, especially electric vehicles, which will be available on the market in the coming months / years, this market evolving very rapidly.

These vehicle choices must, however, be in line with the taxes of the law of 18 May 2022 amending the law of 17 June 2016 on public procurement and the law of 17 June 2016 on concession contracts for clean vehicles).

The framework agreement will be concluded with several contractors: 3 participants.

In strict compliance with the principle of competition, in BW will, prior to the award of any order based on the framework agreement, reopen competition between all the participants in this agreement (3 in number), each time in BW intends to launch an individual contract for the rental of specific vehicles.

The detailed rules relating to the conclusion of subsequent contracts are set out in the section 'Award and award of subsequent contracts' under the heading 'Performance of the contract'.

Place of delivery: When ordering, the Contracting Authority designates the dealer responsible for delivering the vehicle.

The market is divided into lots as follows:

Lot 1 "cars"

The lot relates to vehicles of category M1, being motor vehicles designed and constructed primarily for the carriage of passengers and their luggage, comprising not more than eight seats in addition to that of the driver and having no space for standing passengers, whether or not the number of seats is limited to that of the driver.

Lot 2 "Commercial vehicles"

The lot covers:

- vehicles of category N1: vehicle designed and constructed for the carriage of goods having a maximum mass of not more than 3,5 tonnes.

- Vehicles of category N2: Vehicles designed and constructed for the carriage of goods having a maximum weight exceeding 3.5 tonnes but not exceeding 12 tonnes.
