The subject of the contract is a comprehensive supply of electricity for the needs of the Port of Gdynia Authority S.A. in 2024.

1.The subject of the contract includes the supply of electricity in the total estimated amount: 24 355 MWh.

2.The supply of electricity will take place:

a) for collection points - specified in Annex 4 to the SWZ;

b) for own needs and for resale, with the forecast amount of electricity purchased specified in Annex 3 to the SWZ;

(c)successively according to the needs of the contracting authority;

d) with technical parameters in accordance with the provisions of the Act of 10 April 1997. Energy Law (i.e. Journal of Laws of 2022, item 1385, as amended) and implementing regulations to the EP.

3. The division of the amount of electricity for calculating the invoice for energy for own needs and for further resale will take place on the basis of a statement sent to the Contractor by the Contracting entity for a given settlement period.

4.Under the concluded energy sales agreement, the Contractor is responsible for commercial balancing of electricity.

5.The contracting authority is not a final buyer in accordance with the Act on Excise Duty and the contractor is obliged to sell electricity for the needs of the contracting authority not charged with excise duty.

6. The amount of electricity specified in paragraph 1 of the Announcement is an estimated (forecasted) quantity, and the forecasted electricity consumption specified in Annex 3 to the SWZ is an element used to select the best offer and does not constitute an obligation on the part of the Ordering Party to purchase energy in the given quantities. The Contractor shall not be entitled to any claims for failure by the Ordering Party to consume the anticipated amount of energy or to collect a larger quantity.

7. The distribution service will be provided on the basis of a distribution service agreement with the Distribution Network Operator (DSO). Electricity will be supplied via the DSO's distribution network.

8.The Contractor is obliged to prepare and complete all formalities resulting from the need to take over the obligations of energy supply in time to conclude a new Electricity Sales Agreement.

9. The tender, including the European Single Procurement Document and other declarations, shall be drawn up, under pain of nullity, in electronic form (signed with a qualified electronic signature).
