Framework agreement for legal advice services for the information technology commissioner (Chief Information Officer - CIO)

The object of the contract is a framework agreement on legal advice services for the IT commissioner (CIO). The services consist of consulting services on legal issues in the following areas of law:

- data protection law

- IT law

- licensing law

- personnel representation law

The issues relating to personnel representation law are primarily concerned with participation and participation rights of staff representatives with regard to digitisation projects.

- administrative procedural law

The issues of administrative procedural law are primarily concerned with examining the implementation requirements arising from regulations and directives in state law with regard to digitization projects as well as electronic communication, announcement, publication and form.

In individual cases, there may be a need for consulting services in adjacent legal areas on the aforementioned.

EgoVG NRW interpretation questions are not part of the scope of services.

The services to be provided include:

a) Processing ad hoc inquiries. This refers to simple inquiries made by the client in writing or by telephone, which can be answered either by telephone or by means of a simple written statement within a processing time of 60 minutes.

b) Handling complex issues. This refers to written inquiries from the client that cannot be answered within a processing time of 60 minutes. It deals with issues that are more complex, but can usually be dealt with within a processing time of a maximum of 3 days and that do not require processing as part of a legal opinion.

c) Preparation of up to four individual legal opinions annually from the aforementioned legal areas (max. 100 pages per legal opinion).

The order begins on the 1st of the month after the award of the bid and ends no later than four years after the award of the award.

The services rendered or essential content of these services may not be published - even in shortened or otherwise modified form - without the consent of the client or used by the contractor in any other way.

Service calls can only be made by the department responsible for e-government law at the CIO (client).

As a rule, the services are to be provided at the contractor's office.

The procedure for providing legal advice for simple telephone and written queries and simple written legal statements differs from the procedure for retrieving complex issues and legal opinions.

Depending on the service to be provided, the following steps are decisive:

a) Retrieving simple legal advice services (ad hoc inquiries):

1. The client usually sends a specific, concrete advice requirement to the contractor by telephone or e-mail.

2. There is a direct provision of services.

3. The customer shall accept the services rendered.

4. The proper provision of services must be documented monthly before invoicing and confirmed by the client in writing.

5. Accounting has to be done quarterly to the client. The confirmed documentation must also be included.

The contractor assesses whether the service to be provided involves processing an ad hoc request to be clarifying within 60 minutes or whether it is a complex issue. If a request made as an ad hoc request requires a longer time in the opinion of the contractor, he shall inform the client of this. In this case, the steps defined below for complex issues have to be carried out.

b) and c): Retrieving complex issues and legal opinions:

1. The client submits a specific performance requirement for certain legal issues to the contractor. The contractor is also informed which quality expectations and acceptance criteria are used for the project project. On this basis, the contractor submits an offer with an effort estimate to the client within two working days. This expense estimate is the upper limit of remuneration.

2. The submitted offer is checked by the client. It is checked whether the range of services offered converges with the performance requirements. After a positive review, the submitted offer forms the basis for the project-specific retrieval of the service offered from the framework agreement.

3. The order is carried out by the client in text form by e-mail to the contractor.

4. Upon acceptance of the service provided, it is checked and determined whether the quality expectations meet the pre-defined acceptance criteria. Acceptance is a prerequisite for the final invoice to be made. It is carried out in text form by e-mail by the client to the contractor. Proof of hourly expenses must be attached to the final invoice.
