Description:
Purchase of electricity for the Piła Municipality together with organizational units and companies of the Piła Municipality in the period from 01.01.2024 to 31.12.2025.

1. The subject of the contract is the purchase of electricity in accordance with the provisions of the Act of 10 April 1997. Energy Law (i.e. Journal of Laws of 2022, item 1385, as amended) together with implementing regulations, for the needs of the Piła Municipality and the organizational units and companies of the Piła Municipality specified in Appendix No. 9 to the Terms of Reference.

2. The total estimated consumption of electricity in the procurement period, i.e. from 01.01.2024 to 31.12.2025 up to 529 PPE, is 28,395.366 MWh. The material scope of the subject matter of the contract covered by the present proceedings is specified in a detailed description of the subject matter of the contract (Appendix No. 4 to the Terms of Reference) and the draft provisions of the contract (Appendix No. 6 to the Terms of Reference) together with Appendix No. 1 to the draft provisions of the contract (list of the Contracting Authority's facilities covered by the contract) and Appendix No. 2 to the proposed provisions of the agreement (power of attorney), which are an integral part of this Terms of Use.

3. In order to commence the supply of electricity within the specified period (in relation to individual consumption points), the customer must have successfully completed the procedure of changing the supplier, the customer must have valid contracts for the provision of electricity distribution services and the effective termination/expiry of the existing electricity sale agreements and comprehensive agreements:

a) In the case of comprehensive contracts, the Contractor is obliged to submit on behalf of the Contracting Authority (Recipient) appropriate declarations on the termination of comprehensive contracts with effect from the day preceding the planned date of commencement of deliveries (in Appendix No. 4 to the Terms of Reference, column "Delivery period").

b) In the case of forward sales contracts, their term expires on the day preceding the planned date of commencement of deliveries (in Appendix No. 4 to the Terms of Reference, column "Delivery period").

4. The Contracting Authority informs that the current electricity purchase agreements are concluded with TAURON Sprzedaż Sp. z o.o. and are valid for a definite period of time until 31.12.2023. The exception is PPE no. 590310600021744343, for which a comprehensive agreement is concluded with ENEA S.A. for an indefinite period of time.

The Contractor is obliged to submit, on behalf of the Ordering Party (Recipient), an appropriate statement on the termination of the comprehensive agreement, with effect from the day preceding the planned date of commencement of deliveries (in Appendix No. 4 to the Terms of Reference, column "Delivery period").

5. Appendix No. 4 to the Terms of Reference specifies the data and address of the Recipients for sending invoices [column "Recipient (address for sending invoices)"]. The final data on the issuance and delivery of invoices will be included in the Sales Agreement/Appendix No. 1 to the Electricity Purchase Agreement.

6. In Appendix 4 to the Terms of Reference, in the column "Change of supplier", it is indicated in relation to which collection points the change of vendor will take place for the first time, and in respect of which it will be changed again. In the case of collection points where sales and distribution contracts have already been separated (another change of seller), the Ordering Party has signed distribution agreements for an indefinite period of time.

7. If, as at the date of concluding the electricity sale agreement, the Contracting Authority does not have valid electricity distribution agreements or in the event that there is a change on the part of the Contracting Authority during the term of the agreement, the Contractor will be obliged to submit applications for the conclusion of distribution agreements and to sign the agreements on behalf of and on behalf of the Contracting Authority or to submit on behalf of the Contracting Authority a statement of consent to conclude distribution agreements with DSOs (in accordance with the content of IRiESD DSO), for which the Contractor will be granted an appropriate Power of Attorney. In Appendix 4 to the Terms of Reference, the Contracting Authority in the column "Comments for the Contractor" specified in detail for which PPE it will be necessary to carry out such an obligation.

8. With respect to all points of consumption, the Contracting Authority has the status of a customer, and therefore has the right to purchase energy from a supplier of its choice (Article 4j(1) of the Energy Law of 10 April 1997).

9. Distribution services will be provided on the basis of separate agreements concluded between the Ordering Party and the Distribution System Operator (DSO).

10. The Contractor, on the basis of the Power of Attorney granted, will be obliged to submit the electricity sale agreement to the relevant DSO on behalf of itself and the Contracting Authority in accordance with the applicable regulations.

11. The subject matter of the contract does not include electricity distribution services.
