The client's goal is to entrust to a single contractor all the services related to the management of applications related to the functional and technological domain of the integration and monitoring systems of business processes. Given the current prevalence of the TIBCO technology platform on this field, hereinafter and in all the documents indicated in the annex for convenience we will refer to this domain as the “Tibco domain”, without with This excludes other open source components already in the field or limit in any way future evolutions, on projects that may also be in the context of this supply, towards different technologies also open source.

The contract shall have as its object:

a) evolutionary maintenance activities (MEV) and catalogue services. Precisely, Evolutionary Maintenance Mev means all the activities necessary for the development of the solution. Catalogue services mean standard specialist support activities for which the nature of the intervention is predefined and does not require the definition phase of the solution;

b) application developments and specialist services to be implemented with specific implementing orders. These activities belong to both developments (evolutionary projects) within the TIBCO domain and professional support, with the presence at the ADR headquarters of resources related to professional profiles. specified in the technical documentation attached to this notice;

c) Application maintenance service. This service is substantiated in all the activities necessary to perform the maintenance and application management of the systems and applications belonging to the aforementioned domain, whose main ones are maintenance. corrective, the trouble ticket, the training of the customer's staff The biennial amount of the contract is equal to 1 400 000.00 EUR of which:

(i) EUR 200 000.00 'to measure' for application development activities (MEV) and catalogue services;

(ii) EUR 600 000.00 “tailored” for application developments and specialist services; the activities will be commissioned by the customer through specific implementing orders under a specific framework contract , in which they will be defined from time to time, among others:

— the object of the service,

— the relative contractual amount,

— the time limit within which the activity must be completed;

(iii) EUR 600 000.00 “per person” for the Application Maintenance service.

The contract is not subdivided into lots as it is necessary to ensure uniformity and seamless integration between the various performances covered by the contract.

From this contract, 2 contracts will be created: the first contract will have as a contractor ADR SpA and the subject: “Application Development Activities (MEV), Catalog Services, Application Developments and Specialist Services from implement with specific implementing orders”, referred to in points a) and b) of the above list; the second contract will have as contractor ADR Tel SpA, a 100% subsidiary of ADR SpA, and subject: “Services of Application Maintenance” referred to in point c) of the above list.

It should be noted that the amounts referred to in points a) and b) represent the maximum amounts available to the customer who assumes no obligation to entrust activities until the respective amounts are exhausted.

The estimated amounts referred to in points II.1.5) and II.2.6), as well as the duration indicated in point II.2.7 below refer to a contractual term of three years, i.e. inclusive of the full use of the option extension referred to in point II.2.11 below).
