The subject of the contract provided by the Contractor to the Agency for Restructuring and Modernization of Agriculture in Warsaw (hereinafter referred to as the "Ordering Party") is:

The Contractor shall sell, deliver, configure and launch the IdM class identity management system, hereinafter referred to as the "PCS System", in accordance with the specification constituting Appendix No. 1 to the draft provisions of the contract (hereinafter: "PPU") constituting Appendix No. 7 to the Terms of Reference (hereinafter: "Terms of Reference") and the Offer Form, constituting Appendix No. 1 to the Terms of Reference.

1. The subject of the contract provided by the Contractor to the Contracting Authority is:

1.1. The Contractor shall sell, deliver, configure and launch the IdM class identity management system, hereinafter referred to as the "PCS System", in accordance with the specification constituting Appendix No. 1 to the PPU constituting Appendix No. 7 to the Terms of Reference and the Offer Form, constituting Appendix No. 1 to the Terms of Reference, including:

1.1.1. carry out the Implementation and integration with ARMA domain systems in accordance with the terms and conditions of the PPU, including the preparation and delivery of the Technical Design, Acceptance Test Plan, As-built Documentation and Operational Documentation in electronic form,

1.1.2. shall provide the Contracting Authority - on the terms specified in the PPU and the general license conditions of the System manufacturer - with the right to use (on the basis of the Subscription) the PCS System, including both in its entirety and its individual elements, along with the right to use the documentation of the manufacturer of the PCS System (technical, user, administrator),

1.1.3. shall provide the Contracting Authority with the right to use the PCS System together with its documentation in accordance with subsection 1.1.2 on a Subscription basis, for 36 months from the date of unqualified signing of the Implementation Protocol by the Contracting Authority, including the provision of a licence document issued by the manufacturer of the PCS System confirming the Contracting Authority's right to use the PCS System and indicating the date of using the PCS System together with its documentation, in accordance with the provisions of the PPU and the general license terms and conditions of the System manufacturer and the content of the manufacturer's license terms and conditions of use of the PCS System drawn up in Polish (or in English, if there is no Polish language version),

1.1.4. transfer to the Contracting Authority the author's economic rights to the Documentation prepared by the Contractor under the Agreement.

1.2. The Contractor shall conduct workshops for administrators of the PCS System and for key users of the PCS System in accordance with the terms and conditions of the PPU.

1.3. The Contractor shall provide the Warranty for the PCS System for a period of 36 months from the date of unqualified signing of the Implementation Protocol by the Contracting Authority, including ensuring the provision of manufacturer's support (Service Care) by issuing an appropriate document to the Ordering Party, confirming the right of access to the manufacturer's support in the above-mentioned period, in accordance with the manufacturer's general terms and conditions.

1.4. The Contractor shall provide the Support Service to the Contracting Authority for no longer than for a period of 36 months from the date of unqualified signing of the Implementation Protocol by the Contracting Authority in accordance with the terms and conditions of the PPU, including the transfer to the Contracting Authority of proprietary copyrights to the results of activities performed by the Contractor as part of the Support Service. As part of the Support Service, the Contractor will provide the Contracting Authority with 300 hours of technical consultations on problems related to the PCS System. The consultations will include ongoing administrative, configuration and analytical work related to the PCS System, all kinds of reconfiguration and optimization work of the PCS System.

2. Gross offer price for the execution of the order within the scope indicated in the table of the Offer Form, constituting Appendix No. 1 to the Terms of Reference, item 1 "Delivery, configuration and commissioning of the offered PCS System in accordance with the specification constituting Appendix No. 1 to the PPU and Implementation of the PCS System and integration with ARMA domain systems, in accordance with the terms and conditions of the PPU, including the execution and delivery of the Technical Design, Acceptance Test Plan, As-built Documentation and Operational Documentation in electronic form" must constitute no more than 20.00% of the total gross bid price.

3. The Contracting Authority requires that the subject matter of the contract be performed on the terms and conditions specified in the PPU together with the attachments constituting Appendix No. 7
