The subject of this contract is the sale of electricity to the facilities listed in Appendix No. 9 to the Terms of Reference - description of the subject of the contract. The estimated electricity demand in the period from 01.01.2024 to 31.12.2025 is:

Tariff C11-Estimated electricity demand for the facilities of the Plant of Municipal Waste Disposal RUDNO Sp. z o.o. for the period from 01.01.2022 to 31.12.2023 is 120 MWh

Tariff B23-Estimated electricity demand for the facilities of the Plant of Municipal Waste Disposal RUDNO Sp. z o.o. for the period from 01.01.2022year to 31.12.2023 is 2500 MWh

. The subject of this contract is the purchase of electricity for the facilities listed in Appendix No. 1 to the OPZ - description of the subject of the contract. in accordance with the Energy Law of 10 April 1997 and in accordance with the implementing regulations issued to this Act, in particular with the standards of customer service quality set out in the Regulation of the Minister of Energy of 6 March 2019 on the detailed rules for the formation and calculation of tariffs and settlements in electricity trading. The quality parameters of electricity in the distribution part are regulated by

Regulation of the Minister of Economy of 4 May 2007 on the detailed conditions for the operation of the power system. The electricity demand in the period from 01.01.2024 to 31.12.2025 is:

Tariff C11 – Estimated demand of electricity to the facilities of the Municipal Waste Disposal Plant RUDNO Sp. z o.o. in the period from 01.01.2024 to 31.12.2025 is 120 MWh

Tariff B23-Estimated demand of electricity to the facilities of the Municipal Waste Disposal Plant RUDNO Sp. z o.o. in the period from 01.01.2024 to 31.12.2025 is 2500 MWh

2. The detailed scope of the contract is specified in Appendix 1 to the OPZ, in accordance with the provisions of the Energy Law of 10 April 1997. Other terms and conditions concerning the performance of the contract are specified in the draft agreement for the sale of electricity - Appendix No. 7 to the Terms of Reference.

3. The Contracting Authority informs that the planned quantity is an estimated value calculated on the basis of electricity consumption in the last period.

4. The Contracting Authority informs that it will not incur any fees for not using the full amount of the ordered volume of electricity, and the fee will be calculated in accordance with the actual energy consumption.

5. The Ordering Party informs that the process of changing the seller takes place for the sixth time. The Contracting Authority has signed a contract for the sale of electricity with Renpro Sp. z o.o., 43 Małopolska Street, 70-515 Szczecin. The contract is valid until 31.12.2023.

6. Distribution services will be provided on the basis of a separate agreement concluded by the Ordering Party with the relevant Distribution System Operator, i.e. ENERGA Operator S.A.

7. Granting an appropriate power of attorney to perform the activities described in § 4 section 1 points 1) – 3) of the Model Agreement.

8. Other terms and conditions concerning the performance of the contract are specified in the template of the Electricity Purchase Agreement – Appendix No. 7 to the Terms of Reference.

9. Electricity should meet the technical parameters in accordance with the provisions of the Energy Law and the implementing regulations to this Act and the Polish Standards.

10. The Contracting Authority shall transmit to the contractor specified in this proceeding with the necessary data and documents to carry out the procedure for changing the seller, immediately after the signing of the contract.

11. The Contracting Authority shall conclude one contract for the sale of electricity in the

contractor in the present proceedings. Electricity purchase agreements

with the selected Contractor will be signed electronically using a qualified electronic signature. A detailed description and manner of execution of the order is included in the contract constituting Appendix No. 9 to the Terms of Reference.
