Open procedure for the conclusion of a framework agreement with a single economic operator, pursuant to Art. 59, paragraph 3, of Legislative Decree no. 36 of 31 March 2023 for the assignment of insurance services for the Civil Liability insurance of Directors, Statutory Auditors, Managers and other employees in the performance of the activity on behalf of Fondimpresa and for the no. 19 territorial articulations of Fondimpresa, for a period of 36 months corresponding to the three-year period 2024/2025/2026

The object of the assignment of the above-mentioned insurance services must comply with the following minimum conditions:

National Fondimpresa

• D&O. Required limits: Maximum for each claim/year € 10,000,000.00 - Ceiling for defense costs € 2,500,000.00 - Deductible per claim None

Worldwide Territorial Validity (excluding USA and CANADA)

Unlimited retroactivity

• Liability Insurance. Required limits: Maximum for each claim/year € 5,000,000.00 - Deductible per claim € 5,000.00

Unlimited retroactivity

Posthumous 5 years

• Overall limit for both of the above coverages per event and per year of € 15,000,000.00 cumulatively for all guarantees.

For each territorial division of Fondimpresa (19 territorial divisions)

• D&O. Required limits: Limit for each claim/year € 500,000.00 - Ceiling for defense costs € 125,000.00 - Deductible per claim None

Worldwide Territorial Validity (excluding USA and CANADA)

Unlimited retroactivity

• Liability Insurance. Required limits: Maximum for each claim/year € 500,000.00 - Deductible per claim € 1,500.00

Unlimited retroactivity

Posthumous 5 years

• Total limit for both of the above coverages per event and per year of € 1,000,000.00.

The aggregate annual limit for the same claim involving Fondimpresa and the participating TAs is set at € 10,500,000.00 for the D&O guarantee and € 5,500,000.00 for the RC Patrimoniale guarantee.

The institution of co-insurance is permitted.
