The subject of the contract covered by this procedure is the supply of electricity to the Ordering Party's facilities and organizational units in the period from 01.01.2023 to 31.12.2023. A detailed description of the subject of the contract is contained in the Description of the Subject of the Order, which is an attachment to the SWZ. The Biała Rawska Commune is entitled to conduct a tender procedure on behalf of all organizational units. The purchased electricity will be used for the needs of the final buyer (recipient) within the meaning of the provisions of the Act of 16 December 2008 on excise duty. A detailed OPZ can be found in the SWZ and annexes to the SWZ.

1. The subject of the contract covered by this procedure is the supply of electricity to the Ordering Party's facilities and organizational units in the period from 01.01.2023 to 31.12.2023. A detailed description of the subject of the contract is contained in the Description of the Subject of the Order, which is an attachment to the SWZ.

2. The Municipality of Biała Rawska is entitled to conduct a tender procedure on behalf of all organizational units. The purchased electricity will be used for the needs of the final buyer (recipient) within the meaning of the provisions of the Act of 16 December 2008 on excise duty.

3. The existing agreements divided into sales expire on 31.12.2022 and new sales agreements will be concluded with the active energy seller selected in this proceeding and the local distributor of electricity to the Ordering Party's facilities and organizational units. The obligation of the selected Contractor will be to terminate the existing contracts for the sale of electricity and the provision of distribution services (comprehensive agreements) and to represent the Ordering Party and its organizational units before the relevant Distribution System Operator in matters related to the conclusion of new distribution agreements. To perform the above-mentioned activities, the Contractor will receive an appropriate power of attorney.

4. The Purchaser declares that:

has signed contracts with:

ENEA S. A., Górecka 1, 60-201 Poznan

for the sale of energy for a definite period until 31.12.2022 on PPE, in accordance with the annex to the SWZ,

has signed a distribution agreement for an indefinite period with a local DSO, PGE Dystrybucja S.A.,

provide the Seller selected through a tender procedure with PPE data in the form of an MS Excel file,

has not concluded other loyalty agreements.

5. The estimated demand for electricity for the Ordering Party's facilities in the period from 01.01.2023 to 31.12.2025 is 1 242.41 MWh (Annex No. 6 to SWZ). Estimated amounts of energy demand are quantities used only to select the most advantageous offer of the Contractor. The actual value will depend on the amount consumed at each energy point.

6. The actual amount of electricity consumed by the Ordering Party will be determined and settled on the basis of indications of measurement and settlement systems of facilities.

7. The Contractor shall not be entitled to any claim for failure of the Ordering Party to collect the estimated amount of electricity.

9. The Ordering Party has not divided the contract into parts - thus the Ordering Party does not allow the submission of partial offers referred to in Article 7 point 15 of the PPL Act.

10. Justification for not dividing: The Contracting Authority did not divide the contract into lots due to the specificity of the subject of the contract and the fact that the implementation of its individual parts by different Contractors would not be rational from the point of view of the Contracting Authority's financial interest, because it could cause excessive costs of contract performance.
