1. The subject of the proceedings is "Comprehensive supply and provision of electricity distribution services for the Municipality of Tarnowo Podgórne, organizational units of the Municipality of Tarnowo Podgórne, cultural institutions and municipal companies in the years 2024-2025".

2. A detailed description of the subject of the contract together with a list of electricity consumption points for individual Parts of the subject of the contract is included in Annex 1A and 1B to the SWZ, respectively. The electricity consumption declared in the above-mentioned annexes is an estimate and serves only for the purpose of calculating the price of the Offer.

3. Comprehensive supply of electricity will be carried out on the basis of an energy sales agreement

electricity, referred to in Article 5(2)(1) of the Act of 10 April 1997 -

Energy Law (i.e. Journal of Laws of 2022, item 1385, as amended).

4. This contract also covers the provision of electricity distribution services.

1. Part I – the order covers the supply of electricity in the planned amount of 9 002 230 kWh, from 01.01.2024 to 31.12.2024 (12 months) to electricity consumption points in accordance with Annex 1A to the SWZ.

2. The Contractor is obliged to perform the order for Part I of the subject of the contract on terms and conditions, taking into account the Essential Provisions of the Agreement contained in Annex No. 10 to the SWZ.

3. Comprehensive delivery and provision of electricity distribution services will be carried out in accordance with applicable law, in particular under the conditions specified in the Act of 10 April 1997 – Energy Law (i.e. Journal of Laws of 2022, item 1385, as amended), executive regulations to this Act, in particular the Regulation of the Minister of Economy of 4 May 2007 on the detailed conditions for the operation of the power system (Journal of Laws of 2007 No. 93, item 623, as amended) and the Regulation of the Minister of Energy of 6 March 2019 on the detailed rules for shaping and calculating tariffs and settlements in electricity trading (Journal of Laws of 2019, item 503, as amended), the Tariff for electricity distribution services (DSO tariff) and the Distribution Network Operation and Operation Manual (IRiESD) of the relevant Distribution System Operator, Strzeszyńska 58, 60-479 Poznań and the provisions of the Act of 23 April 1964 - Civil Code (consolidated text: Journal of Laws of 2022, item 1360, as amended), hereinafter referred to as "Civil Code", the Act of 11 September 2019 - Public Procurement Law (consolidated text: Journal of Laws of 2022, item 1710, as amended), hereinafter referred to as "PPL", the Act of 6 December 2008 on excise duty (Journal of Laws of 2022, item 143, as amended) and the rules set out in concessions or provisions of the Agreement.

The electricity consumption declared in the above-mentioned annexes is an estimate and serves only for the purpose of calculating the price of the Offer.

The Contractor is obliged to have agreements with the Distribution System Operator (DSO), i.e. ENEA OPERATOR Sp. z o.o. operating in the Ordering Party's premises, in force throughout the entire period of this contract, enabling the conclusion of effective agreements and comprehensive delivery and provision of electricity distribution services via the DSO distribution network to electricity consumption points specified in Annex 1 to the SWZ.

6. The Ordering Party informs that comprehensive electricity sales and distribution agreements concluded for a definite period until 31.12.2023 with ENEA S.A. are in force for all electricity consumption points specified in Annex 1 to the SWZ. The Contractor is not obliged to terminate the currently applicable contracts.

7. All measurement and settlement systems are adapted to the TPA principle.

8. The backup supplier for all electricity consumption points covered by these proceedings is ENEA S.A. with its registered office in Poznań, Pastelowa 8, 60-198 Poznań.
