Description:
The Friends integration platform as a Paas solution and Heppa system maintenance support and further development as a service.

The objective of the Framework Agreement is to acquire the Friends integration platform (including “Platform”) as a Paas solution, including the maintenance and further development of the Platform. The integration platform uses the Friends integration platform, which has an implemented UETConnect integration application connecting Subscriber's international databases. In addition, the object of the acquisition covers the maintenance and further development of the Subscriber Heppa system as a service. Services are acquired on a SpoC basis (Singe Point of Contact). The system environment is described in Annex A2 “Description of the System Environment”. In addition, the subscriber may adopt supervisory services under the maintenance service agreement, which are priced separately.

Vendor tasks include, as part of the deployment of the Services, to go through the commissioning project and ensuring that the end results of the deployment project correspond to what is ordered.

The focus of services is production maintenance and further development. Further development resurrection is agreed separately (so-called lightened DevOps model). Services are produced according to the minimum requirements using Vendor's working methods and tools. For the most part, Hippos' own IT team is responsible for the development. Third parties may also be involved in the development.

As part of the suitability requirements, the Supplier must have adequate human resources to provide services. Human resources and requirements are described in the ESPD form.

Before concluding a contract, the Supplier shall appoint a Service Manager with sufficient knowledge and experience for the Services, which must be available at the latest at the time of the conclusion of the contract. The requirements for the service manager are described in the Requirements form.

- The framework agreement shall be valid for up to five (5) years or until the acquisition volumes for further development are reached, after which the framework agreement ceases.

- The maintenance agreement is valid until further notice. The terms of the Framework Agreement are subject to the terms of the Framework Agreement, despite the termination of the Framework Agreement.

- The supply contract is valid until the delivery is completed in accordance with the Supply Agreement, the possible warranty period expired and the parties have completed their obligations under the Supply Agreement.

- License agreements: Permanently valid. The subscriber receives unlimited access to the Software, however, taking into account the right to unload under the license terms.

The subscriber anticipates that the contract period will begin in the first half of March 2022.

The subscriber can acquire the Framework Contract during the term of further development up to 5 hp (1 hTV is 1650 hours per year). The objective of the contracting entity is primarily to produce further development as its own work or by third parties. The contracting entity estimates that further development will be acquired per year at a rate of up to 1 hp, but the amount may vary. In respect of further development, the contract does not constitute an obligation to purchase Subscriber. The Contract does not provide the Supplier with the exclusive right to produce or part of the Service.
