The subject of the contract is the granting and servicing of a long-term loan in the amount of PLN 4,000,000 (in words: four million zlotys 00/100) to be collected in tranches in 2023 to cover the planned budget deficit in the amount of PLN 2,920,268 (in words: two million nine hundred twenty thousand two hundred sixty eight zlotys 00/100) and to repay previously incurred liabilities under loans and advances in the amount of PLN 1,079,732 (in words: one million seventy-nine thousand seven hundred and thirty-two zlotys 00/100).

1. The subject of the contract is the granting and servicing of a long-term loan in the amount of PLN 4,000,000 (say: four million zlotys 00/100) to be collected in tranches in 2023 to cover the planned budget deficit in the amount of PLN 2,920,268 (in words: two million nine hundred twenty thousand two hundred sixty-eight zlotys 00/100) and to repay previously incurred liabilities under loans and advances in the amount of PLN 1,079,732 (in words: one million seventy-nine thousand seven hundred and thirty-two zlotys 00/100).

2 The loan will be collected in tranches at the written request of the contracting authority within the time limit indicated in the offer addressed to the contractor's address. The loan will be used until 31.12.2023.

3 The loan will be repaid in installments starting from 31.03.2024 to 30.09.2040.

4 Interest will be paid on a monthly basis. 5 Interest will be charged on the credit actually used.

5 In a situation where the loan will be repaid earlier – interest will be calculated until the loan repayment date, and not until the end of the contract period.

6 The Contractor shall not charge any fees or commissions on the loan, this condition applies to commissions on granting credit, commissions on the unused part of the loan, commissions on early repayment and other commissions applied by the Contractor related to servicing the loan and other fees.

7 The Ordering Party reserves the right not to use the loan in full, which will lead to a reduction in capital instalments in accordance with the loan used or early repayment of the loan.

8 The Ordering Party also reserves the right not to use the credit at all, which will not give rise to any obligations of the Ordering Party towards the Contractor.

9 Additional requirements – the Contractor will not charge any fees and commissions on the loan, this condition applies to the commission on granting the loan, commission on the unused part of the loan, commission on non-use of the loan, commission on early repayment and other commissions applied by the Contractor related to servicing the loan and other fees.

10 The loan shall be secured by a blank promissory note together with a promissory note declaration, unless the contractor declares in the bid form that he will waive the collateral for the loan.

11 The credit may not be charged with fees and commissions other than those listed in point 3.5 of the SWZ

12 The interest rate on the loan will be calculated at the variable WIBOR interest rate for 3M calculated as the arithmetic average from the month preceding the interest period increased by the bank's margin fixed during the term of the agreement.
