FinnhEMS Oy is a special mission company 100% owned by the Finnish State. FinnhEMS produces emergency medical aviation service for emergency care centers in university medical circuits. The main task of FinnHEMS, in conjunction with the medical circuits, is to bring a high level of specialist medical services to the most critical emergency patients. FinnhEMS reaches 70% of the Finnish population within 30 minutes of the alert issued by the emergency services. Operations are based on on-call bases operated by FinnHEMS, located in Vantaa, Turku, Pirkkala Tampere, Kuopio, Oulu and Rovaniemi. Activities are carried out by helicopters and alert vehicles (doctor cars).
Medical helicopter operations in Vantaa, Turku and Pirkkala are operated by FinnHEMS Airline Services Oy with four (4) Airbus EC135P2+ helicopters. Operational operations at the Kuopio, Oulu and Rovaniemi bases are operated by Babcock Scandinavian Airambulance Ab (BSAA) with four (4) Airbus H145T2+ helicopters. The agreement between FinnHEMS and BSAA expires in February 2022, when the operation will be fully transferred to FinnHEMS's own production in accordance with the government-owned policy policy policy. In line with the state alignment, FinnhEMS will also establish new bases in Ostrobothnia and southeastern Finland.
FinnHEMS is seeking a framework arrangement for financial leasing services for the purchase of a fleet of helicopters for new bases. Helicopters would come to acquire two—four (2—4) pieces during the next one-to-four (1—4) year time period. Each of the helicopters to be acquired would be subject to a separate financial leasing agreement in accordance with the framework arrangement described in this procurement notice and the related contractual terms.
The acquisition is subject to the framework agreement for Helicopter Financial Lease Services as a funding line. FinnHEMS plans to acquire two to four (2 to 4) pieces of helicopters over the coming time period of one to four (1 to 4) years (the term of the framework contract cost. Four (4) years), which would be financed by the financial leasing framework agreement set out in this procurement notice. FinnhEMS is responsible for the determination and procurement of helicopters and assigns the helicopters to the producer of the financial leasing service. Helicopters are either new or used. The acquisition price of one (1) helicopter is estimated to be around 4 to 10 million. EUR. The residual value of helicopters is determined by an independent analysis company specialising in the helicopter market. The parties agree jointly on the basis of the analysis of the residual value to be used for leasing rent.
The minimum financing line for the financial leasing service provider, which is approved by FinnHEMS, should be EUR 10,000,000, which corresponds to the maximum price for the purchase of one (1) helicopter. FinnHEMS is seeking a full framework arrangement of EUR 30 000 000 to finance future helicopter procurement.
FinnHEMS asks the financial leasing service provider to provide the following information in accordance with the terms of the contract for financial leasing services annexed to this procurement notice:
— Funding line provided by the provider to FinnHems (minimum EUR 10 000 000 000)
— Reference rate applicable to the calculation and revision of rent
— Interest margin to be added on top of the reference interest rate. The value of the reference interest rate is always at least zero.
— Arrangement fee levied on a one-off basis in connection with the acquisition of each rental item
— Any monthly management or billing fee charged by the landlord at each monthly rent.
The supposed holding time for each helicopter (the rental item) is five (5) years. Rent is billed monthly.
On the basis of the bids, FinnHEMS calculates the benchmark cost of the financing line as follows:
— Arrangement fee x 1
— Annual cost of interest (reference interest + margin) x EUR 10,000,000 x 5 (five years)
— Management/billing fee x 60 (sixty items over five (5) years).
The benchmark cost constitutes a benchmark basis for bids. Service providers (one to three (1 to 3) copies) are selected under the framework arrangement in the order of the reference cost (lowest cost first) until
EUR 30,000,000 funding needs have been covered.
